UK Commercial Terms
If you are located in the United Kingdom, your use of Nexus Business Services is governed by these UK Commercial Terms. If you are located in the European Union, your use of the Business Services is governed by the EU Commercial Terms. If you are outside the UK or EU, your use of the Business Services is governed by the standard Commercial Terms.
1. Using Nexus for Business Purposes:
Nexus connects businesses, real estate professionals, and digital communities, helping them engage with their target audiences in meaningful ways. Our platform enables businesses to promote services, create partnerships, and engage with local and digital communities through our various tools. Nexus is designed to support businesses in real estate and related industries, offering solutions tailored to property listings, neighborhood engagement, and digital outreach.
These UK Commercial Terms (the "Business Terms"), in addition to the UK Member Agreement (the "Member Agreement," and together with the Business Terms, the "Terms"), govern your rights and responsibilities related to your use of Nexus’s Business Services if you have your principal place of business in the United Kingdom. Capitalised terms not defined herein have the meaning assigned in the Member Agreement.
By using Nexus’s Business Services, you confirm that you have read, understood, and agree to be bound by these Business Terms. If you are using Nexus Business Services on behalf of a company, organisation, or legal entity (a "Business"), you represent and warrant that you have the authority to bind such an entity to these Business Terms.
Important Notice: (Governing Law and Dispute Resolution) of the Member Agreement includes an arbitration clause that applies to these Terms.
2. Business Services Eligibility and Compliance:
Eligibility and Compliance
Nexus Business Services are available to verified businesses operating within the UK. Eligible businesses must comply with all applicable laws, including consumer protection regulations, advertising standards, and data protection requirements. Businesses must also provide accurate information about their services and maintain professional interactions with users. Nexus reserves the right to verify the legitimacy of any business and may deny or revoke access to Business Services at its discretion.
Restriction, Suspension, and Termination
Nexus may restrict, suspend, or terminate your access to Business Services if you violate these Terms, engage in fraudulent or deceptive business practices, fail to comply with legal obligations, or engage in any activities that may cause harm to Nexus users or the platform. Before taking action, we will provide notice and an opportunity to resolve the issue unless an immediate restriction is necessary to prevent harm. Businesses may appeal decisions through the Complaint Handling and Dispute Resolution Procedures.
Business Termination Rights
Businesses may terminate their use of Nexus Business Services at any time by deactivating their Business Page and ceasing all commercial activity on the platform. However, any outstanding payments or obligations must still be fulfilled.
3. Using Nexus Business Services:
Business Pages and Listings
Business Pages provide businesses with a dedicated space to showcase services, interact with customers, and promote listings. These pages may be created by businesses, recommended by users, or automatically generated from publicly available business data. Nexus Business Pages may be visible to search engines to enhance online visibility.
Business Content and Advertising
Businesses may upload content such as property listings, service descriptions, promotional materials, and customer responses. All content must be accurate, non-misleading, and comply with UK advertising standards. Businesses are responsible for ensuring they have the necessary rights to any images, text, or multimedia they post. Nexus reserves the right to moderate, amend, or remove any content that violates our guidelines or legal requirements.
Customer Interaction and Reputation Management
Businesses engaging with Nexus users must uphold professional standards in all interactions. This includes responding to inquiries in a timely and respectful manner, addressing complaints constructively, and avoiding aggressive marketing tactics. Businesses are solely responsible for managing their reputation on the platform. Nexus does not intervene in disputes between businesses and users but provides a framework for handling complaints.
Data Protection and Privacy
Businesses must adhere to UK data protection laws, including the UK General Data Protection Regulation (UK GDPR). This includes obtaining appropriate user consent for data collection, securely storing personal information, and providing clear notices about how data will be used. Businesses may not use Nexus Business Services to collect sensitive personal information unless explicitly permitted.
4. Payments, Subscriptions, and Fees:
Business Service Fees
Some Nexus Business Services require payment, including advertising, premium business listings, and promotional tools. Businesses agree to pay all applicable fees, which are generally non-refundable unless otherwise stated. Payment methods must be kept up to date, and Nexus reserves the right to suspend services for non-payment.
Subscription Renewals
Subscription-based services automatically renew unless cancelled before the renewal date. Businesses can manage their subscriptions in the account settings. Refunds are not provided for partial subscription periods.
5. Complaint Handling and Dispute Resolution:
Internal Complaint Resolution
Businesses with concerns about Nexus Business Services may submit complaints through our Complaint Handling and Dispute Resolution Procedures. Nexus aims to resolve complaints promptly and fairly. If an issue cannot be resolved internally, further dispute resolution options may be pursued.
Mediation and Arbitration
If internal resolution efforts fail, disputes may be addressed through mediation facilitated by:
The Centre for Effective Dispute Resolution (CEDR)
The International Centre for Dispute Resolution (ICDR)
If mediation is unsuccessful, arbitration may be pursued, with decisions binding under UK law. Businesses agree that disputes will be resolved in UK courts unless arbitration is selected as the preferred method.
6. Legal and Compliance Provisions:
Nexus reserves the right to modify these Business Terms with prior notice. Continued use of Business Services after changes are made constitutes acceptance of the new terms. Businesses are responsible for ensuring their continued compliance with UK legal and regulatory requirements while using Nexus Business Services.
Businesses may not transfer their rights or obligations under these Terms without prior written consent from Nexus. Any confidential data or proprietary insights provided by Nexus must remain confidential and may not be shared with third parties without authorisation.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
