Real Estate Terms of Service

1. Introduction and Acceptance of Terms:

1.1 These Terms of Service
These Real Estate Terms (“Terms”), collectively with our Terms of Service, Privacy Policy, California Privacy Notice, and DMCA Copyright Policy, govern your use of and access to the website(s) located at or linked from www.nexus.realestate and any other Nexus Real Estate–branded website that is controlled by Nexus Real Estate Group LLC (collectively, the “Site”), together with all products, services, platforms, features, content, and applications (including mobile applications) offered by or through Nexus Real Estate Group (collectively, the “Services”). “Nexus Real Estate,” “we,” “us,” or “our” refers to Nexus Real Estate Group LLC or Nexus Real Estate, a real estate brokerage located in Washington, D.C., with its mailing address at 205 River St, Haverhill, MA 01832.

1.2 Binding Contract
By registering for and/or using our Services in any manner, including, but not limited to, merely visiting or browsing the Site or using any mobile application made available by Nexus Real Estate, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms of Service constitute a legally binding agreement between you and Nexus Real Estate, and they incorporate by reference all additional terms, conditions, rules, and policies published by us or otherwise provided to you in connection with the Services. If you do not agree to be bound by these Terms of Service, you may not access or use the Services. If you accept or agree to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to do so.

1.3 Applicability
These Terms of Service apply to all users of the Services, including without limitation individuals seeking rental or sales listings, individuals posting or authorizing the posting of rental or sales listings, and users who submit or provide any form of user-generated content such as comments, reviews, photos, videos, or other materials or services, whether registered or not.

2. Eligibility:

2.1 Age Requirement
You represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to form a binding contract. The Services are not intended for individuals under the age of 18. If you are under 18, you are strictly prohibited from using the Services.

2.2 Changes in Eligibility
We may, in our sole discretion, refuse to offer the Services to any person or entity, and we may change our eligibility criteria at any time. You are solely responsible for ensuring that your use of the Services is lawful. Any right to access the Services is revoked where your use is prohibited by applicable law.

2.3 Non-U.S. Users
Nexus Real Estate operates from facilities in the United States. We do not represent or warrant that the Services are appropriate or available for use outside the U.S. If you access or use the Services from outside the U.S., you do so at your own risk and remain responsible for compliance with local laws. By providing your information to us, you consent to its storage and processing in the United States.

3. What We Do:

3.1 Nature of Services
Nexus Real Estate is a licensed real estate brokerage serving property owners, landlords, sellers, buyers, tenants, and renters. In addition to direct, in-person real estate services, we offer online platforms allowing individuals or entities who wish to rent, lease, sublease, or sell properties (“Landlords” or “Sellers”) to submit real estate listings (“Listings”). We also provide resources for individuals or entities looking to rent or purchase real estate (“Renters” or “Buyers”) to search, evaluate, and potentially complete real estate transactions. We do not own, manage, or otherwise control any of the listed properties.

3.2 Scope and Limitations
Our role is to facilitate the display of property information and to connect interested parties. You understand and agree that we are not a party to any legal or financial agreement you may enter into with another user or third party, including, but not limited to, landlords, sellers, buyers, renters, escrow/title companies, mortgage lenders, or any other associated service providers. You acknowledge that all property interactions, negotiations, and agreements are solely between you and the applicable third party.

3.3 User Responsibility
Because we are not involved in the actual transaction between users, you agree to:

  1. Exercise diligence and sound judgment when reviewing any property details or interacting with other users;

  2. Conduct necessary research and due diligence (e.g., verifying property details, evaluating financial qualifications, obtaining legal advice as needed, and ensuring the property meets your criteria); and

  3. Take necessary precautions when meeting individuals or conducting transactions, whether initiated on or through the Services.

3.4 Advertising
Some features of the Services may be partially or entirely funded by advertising revenue, and you acknowledge that we may display advertisements, promotions, or sponsored Listings. Such advertising does not constitute an endorsement by Nexus Real Estate.

3.5 Website Tracking and Auto-Capture
Nexus Real Estate does not use session replay technology but may employ auto-capture features as you browse our Site or mobile platform. This allows us to collect screenshots or session data for debugging and improvement of the user experience. We anonymize or de-identify this data, restricting access to only designated members of our product/engineering teams. If you wish to opt out of auto-capture features, please email legal@nexus.realestate.

4. Registration:

4.1 Account Creation
Certain Services may require you to register for an account (“Account”). When creating an Account, you must provide accurate and complete information and promptly update it to keep it current. You shall not:

  • Use a name or email address that impersonates another individual;

  • Provide any information that you do not have the legal right to provide; or

  • Use obscene, vulgar, or otherwise offensive language in your username.

4.2 Account Security
You are solely responsible for all activity on your Account and for safeguarding your password. You must promptly notify us if you discover any unauthorized use of your Account or any other security breach. You must not transfer your Account to any other person without our prior written approval.

4.3 Account Deletion
You may request to delete your Account at any time by contacting us or by following the instructions provided on the Site. Upon deletion, we have the right to remove or discard any or all data associated with your Account, subject to our Privacy Policy and any legal retention obligations.

5. License Grant and Restrictions:

5.1 Limited License
Subject to your full and ongoing compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your personal, non-commercial purposes. This license includes the right to display and use the content and materials made available on or through the Services (“Content”) solely for personal, non-commercial use.

5.2 Restrictions
Without limiting the foregoing, you shall not:

  • Copy, reproduce, distribute, publish, display, modify, or create derivative works of the Content for commercial purposes without our prior written consent;

  • Attempt to harvest or collect information about other users of the Services;

  • Reverse engineer, decompile, or disassemble any portion of the Services or Content; or

  • Use the Services in a manner that violates any applicable local, state, national, or international law or regulation.

5.3 Real Estate Professionals
Unless explicitly permitted, no non-Nexus Real Estate broker, salesperson, agent, or similar state-licensed professional may use the Content for commercial purposes, including, but not limited to, copying, publishing, advertising, or contacting our customers or property owners based on information contained in the Services.

5.4 Removal of Content
We reserve the right (but have no obligation) to remove or block any Content from the Services at our discretion, at any time, without notice and for any reason, including, but not limited to, if we believe the Content violates these Terms of Service, any applicable law, or upon request by government authorities or third parties.

6. Rules of Conduct:

6.1 Prohibited Activities
You agree not to use the Services to:

  1. Manipulate any Listing without proper authorization;

  2. Disrupt or interfere with other users’ Listings or the normal functioning of the Services;

  3. Solicit or encourage users to use third-party services that directly compete with Nexus Real Estate’s offerings;

  4. Circumvent fees by identifying or contacting property owners, sellers, buyers, or renters solely for the purpose of completing a transaction independently of the Services;

  5. Generate or send unsolicited communications (“spam”) to other users;

  6. Access or search the Services by any means (automated or otherwise) outside of the search tools provided by Nexus Real Estate or publicly accessible third-party search engines;

  7. Bypass or circumvent measures employed to prevent or restrict access to the Services;

  8. Introduce malicious software (including viruses or harmful code) that may damage or disrupt any part of the Services or the devices of other users;

  9. Violate any intellectual property or proprietary right of any party;

  10. Violate any local, state, national, or international law or any regulation having the force of law.

6.2 Investigation and Enforcement
We may investigate violations of these Terms, remove or disable access to any Content, and/or take any other lawful and appropriate actions at our sole discretion. You acknowledge that we may cooperate with law enforcement authorities or third parties in the investigation or prosecution of any suspected wrongdoing.

7. Equal Housing Opportunity:

Nexus Real Estate adheres to all applicable federal, state, and local fair housing laws. We are committed to the policy of Equal Housing Opportunity, prohibiting discrimination in the sale, rental, financing, and advertising of properties based on race, color, religion, sex, disability, familial status, national origin, or any other protected class under applicable law. We encourage users to comply with fair housing laws and regulations.

8. User Content and Intellectual Property:

8.1 User Content
“User Content” encompasses all information, data, text, graphics, images, videos, sounds, messages, or other materials that you post, upload, submit, or transmit to the Services (e.g., Listings, comments, reviews). You are solely responsible for your User Content, and you represent and warrant that:

  • You are the creator and owner of the User Content, or have the necessary licenses and permissions to post it;

  • Your User Content is accurate, current, and complete;

  • Your User Content does not violate any law, infringe on any third-party right (including privacy, publicity, intellectual property, or contract rights), or otherwise cause injury to any person or entity.

8.2 Content Standards
Your User Content must not:

  • Contain false, deceptive, or misleading information;

  • Promote, contain, or facilitate hate speech, harassment, threats, or any content that is unlawful, defamatory, libelous, offensive, obscene, or otherwise objectionable;

  • Include unauthorized or unsolicited advertising or spam;

  • Contain malware, viruses, or other harmful code;

  • Impersonate another person or entity, or misrepresent your identity or affiliation;

  • Violate any law or contractual duty.

8.3 License Grant to Nexus Real Estate
By posting or submitting User Content, you hereby grant Nexus Real Estate a worldwide, non-exclusive, perpetual, royalty-free, transferable, and sublicensable license to use, reproduce, edit, display, distribute, create derivative works from, or otherwise fully exploit that User Content in connection with our provision of the Services and our business operations. This license continues even if you stop using the Services or delete your Account.

8.4 No Obligation to Monitor
Although we have the right to monitor, edit, or remove any User Content at our discretion, we have no obligation to do so. You agree that we are not liable for any User Content submitted by you or other users.

8.5 Intellectual Property Rights
Nexus Real Estate and its licensors own all right, title, and interest in and to the Services and the Content made available therein (other than your own User Content). The Services and Content are protected by intellectual property and other laws. You must not use any of our trademarks, service marks, logos, or other proprietary information without our prior written consent.

9. Affiliates:

From time to time, Nexus Real Estate may partner with or refer users to affiliated or third-party service providers (e.g., title companies, escrow providers, mortgage lenders, property inspectors). Your use of such affiliated services may be subject to separate terms and conditions and privacy notices, which you should review and accept (if required) before using those services. We do not guarantee any outcome or performance by such affiliates, and disclaim all liability arising from or relating to affiliated or third-party services.

10. Third-Party Services and Links:

The Site or Applications may contain links to third-party websites, resources, or services that are not owned or controlled by Nexus Real Estate. We provide these links only as a convenience and do not endorse or assume any responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. Your use of third-party resources is at your own risk, and any claims you may have arising from or related to such third-party resources must be brought directly against the applicable third party.

Certain features of the Services may integrate or make use of third-party software or APIs (e.g., Google Maps, YouTube API Services). By using our Services, you agree to comply with any applicable terms imposed by those third parties.

11. Payment Processing:

11.1 Third-Party Payment Processor
Nexus Real Estate does not store or process credit card information. If you make a purchase or payment through the Services (for example, paying for certain marketing or referral services), your credit card or payment information will be provided directly to a third-party payment processor such as Stripe, Inc. The processing of your payment will be subject to the terms, conditions, and privacy policies of that payment processor, and we are not liable for the security or performance of the payment processor.

11.2 Fees and Taxes
You are responsible for paying all fees and applicable taxes for purchases or transactions made through the Services. Nexus Real Estate may charge additional fees for specific services or products, and such fees (if any) will be disclosed at the time of purchase. You agree to pay all amounts owed to Nexus Real Estate promptly as indicated. If we are legally required to collect sales tax, we will do so and remit such amounts to the relevant taxing authority.

12. Termination:

12.1 Termination by Nexus Real Estate
We may, at our sole discretion, suspend or terminate your access to all or part of the Services at any time and for any or no reason, including if we believe you have violated these Terms of Service. Such termination may occur without notice and may result in the forfeiture or destruction of information associated with your Account.

12.2 Termination by You
You may terminate your Account at any time by following the instructions on the Site or contacting us. Upon termination, you will lose all access to any information or User Content you have posted on the Services, subject to Section 8.3 regarding license rights we retain.

12.3 Effect of Termination
Any suspension or termination shall not affect your obligations to us under these Terms of Service (including, without limitation, ownership, indemnification, and limitation of liability), which by their sense and context are intended to survive such suspension or termination.

13. Warranty Disclaimer:

13.1 No Special Relationship or Fiduciary Duty
Unless we have entered into a state-mandated written agreement establishing an agency or fiduciary relationship, we have no special relationship or fiduciary duty to you. Our provision of real estate brokerage services is subject to applicable state laws and regulations, but you acknowledge that no fiduciary obligations exist beyond any that may be expressly set forth in a written brokerage agreement, where required by law.

13.2 Content Accuracy and Property Information
All Content, including property details, pricing, photos, and availability, is provided “as is,” without warranties or guarantees of any kind. Listings and related data may be subject to errors, omissions, prior sale or lease, or withdrawal without notice. Square footage, room counts, descriptions, and any other related information should be independently verified by you.

13.3 As Is, As Available
THE SERVICES, INCLUDING ALL CONTENT AND FEATURES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT ALLOWED UNDER APPLICABLE LAW, NEXUS REAL ESTATE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND PARTNERS HEREBY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.4 No Guarantee of Results
We do not guarantee, endorse, or assume responsibility for any contract, property, listing, content, or service advertised or offered by a third party on or through the Services. We do not control or endorse any such third-party services, and you agree that any transaction you enter into with a third party shall be at your own risk.

14. Indemnification:

You agree to defend, indemnify, and hold harmless Nexus Real Estate, its affiliates, and each of their respective employees, contractors, directors, suppliers, licensors, and agents (collectively, the “Indemnified Parties”) from any and all claims, actions, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. Your use or misuse of the Services;

  2. Your breach of these Terms of Service;

  3. Your violation of any law, rule, or regulation;

  4. Any claim by another party arising from your User Content;

  5. Your interactions or transactions with any other user or third party; or

  6. Your alleged or actual infringement of any intellectual property right or other right of a third party.

Nexus Real Estate reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate in asserting any available defenses.

15. Limitation of Liability:

15.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEXUS REAL ESTATE OR ITS AFFILIATES, EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF NEXUS REAL ESTATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS REAL ESTATE’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO NEXUS REAL ESTATE FOR THE PARTICULAR SERVICE AT ISSUE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

15.3 Release
You hereby release Nexus Real Estate and its officers, directors, employees, agents, affiliates, successors, and assigns from any and all claims, demands, and damages of every kind, known or unknown, arising out of or in any way connected with any dispute you may have with any other user or third party. If you are a resident of a jurisdiction that restricts general releases, you agree to waive such restrictions to the fullest extent permitted by law.

16. Arbitration Clause and Class Action Waiver; Waiver of Jury Trial:

16.1 Agreement to Arbitrate
You and Nexus Real Estate agree that any and all disputes, claims, or controversies arising out of or relating to these Terms of Service or the use of the Services shall be resolved by binding arbitration under the American Arbitration Association’s Consumer Arbitration Rules. By agreeing to arbitration, you understand that YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL and any right to bring or participate in a class, collective, or representative action.

16.2 Class Action Waiver
YOU AGREE THAT ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. NEITHER YOU NOR NEXUS REAL ESTATE SHALL BE PERMITTED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER USERS, OR TO PURSUE ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER, OR IN A PRIVATE ATTORNEY GENERAL CAPACITY.

16.3 Exceptions
If the class action waiver is deemed unenforceable by a court of competent jurisdiction, then all arbitration provisions in this Section 16 shall be null and void. If for any reason a claim proceeds in court rather than in arbitration, the dispute shall be exclusively brought in the state or federal courts located in Washington, D.C., and the parties waive any objection to personal jurisdiction and venue.

16.4 Survival
This arbitration agreement will survive the termination of your relationship with Nexus Real Estate.

17. Governing Law and Jurisdiction:

Except as otherwise mandated by applicable law or by the arbitration provision in Section 16, these Terms of Service shall be governed by, and construed in accordance with, the laws of the District of Columbia, without giving effect to its conflict of laws principles. Any cause of action arising out of or related to the Services or these Terms must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

18. User Disputes:

We may, but have no obligation to, assist in resolving disputes between users. You understand and agree that we have no control over the conduct of users and are under no obligation to become involved in disputes between users. If you have a dispute with another user, you release Nexus Real Estate from any claims, demands, and damages arising out of or related to such a dispute.

19. Export Controls:

By using the Services, you represent and warrant that:

  1. You are not located in a jurisdiction subject to a U.S. Government embargo or designated as a “terrorist supporting” country;

  2. You are not on any U.S. Government list of restricted parties;

  3. You will comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

20. Feedback:

We welcome and encourage you to provide feedback, comments, ideas, or suggestions about our Services (“Feedback”). By submitting any Feedback, you grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, distribute, display, publish, and otherwise exploit such Feedback for any purpose, commercial or otherwise, without acknowledgement or compensation to you.

21. Modification of Terms:

We reserve the right, in our sole discretion, to modify or replace any part of these Terms of Service at any time, with or without prior notice. If a modification is material, we will post a notice on the Site or otherwise notify you. It is your responsibility to check these Terms periodically for changes. Your continued use of or access to the Services following any posting of changes to these Terms constitutes acceptance of those changes.

22. Mobile Application Terms:

22.1 License to Use Application
If Nexus Real Estate provides mobile applications for iOS or Android devices (collectively, the “Application”), we grant you a non-exclusive, non-transferable, revocable license to install and use one copy of the Application on a mobile device or computer that you own or control, solely for personal use in accordance with these Terms of Service.

22.2 App Store (Apple) Terms
If you download the Application from the Apple App Store:

  • These Terms of Service are between you and Nexus Real Estate, not Apple;

  • Apple has no obligation to furnish maintenance or support for the Application;

  • In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any;

  • Apple is not responsible for addressing any claims relating to the Application, including product liability claims, intellectual property claims, or consumer protection claims;

  • Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms of Service and may enforce these Terms against you.

22.3 Google Play (Android) Terms
If you download the Application from the Google Play Store:

  • These Terms of Service are between you and Nexus Real Estate, not Google;

  • Google has no obligation to provide support or maintenance for the Application;

  • You may notify Google in the event of any failure of the Application to conform to any applicable warranty;

  • Google is not responsible for addressing claims relating to the Application;

  • Google and its subsidiaries are third-party beneficiaries of these Terms of Service and may enforce these Terms against you.

23. Miscellaneous:

23.1 Entire Agreement
These Terms of Service, together with any state-mandated disclosures and additional policies or agreements referenced herein (e.g., Privacy Policy, California Privacy Notice, DMCA Copyright Policy), constitute the entire and exclusive agreement between you and Nexus Real Estate, superseding all prior or contemporaneous understandings or agreements (oral or written) regarding the subject matter hereof.

23.2 Severability
If any provision of these Terms of Service is deemed unlawful, void, or for any reason unenforceable, that provision shall be severed from these Terms, and the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

23.3 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, wars, terrorism, strikes, equipment or electrical failures, or other unforeseen events of similar magnitude.

23.4 Assignment
These Terms of Service are personal to you and are not assignable or transferable by you except with our prior written consent. We may assign, transfer, or delegate any of our rights or obligations under these Terms of Service without consent.

23.5 Agency
No agency, partnership, joint venture, or employment is created as a result of these Terms of Service, and you do not have any authority of any kind to bind Nexus Real Estate in any respect whatsoever.

23.6 Notices
Except as otherwise specified herein, all notices under these Terms of Service shall be in writing and deemed duly given when (a) delivered personally; (b) sent by certified or registered mail, return receipt requested; (c) sent via a recognized overnight courier service; or (d) delivered via email with confirmatory receipt. 23.7 No Waiver
Our failure to enforce any provision of these Terms of Service shall not be deemed a waiver of future enforcement of that or any other provision. Any waiver must be made in writing and signed by a duly authorized representative of Nexus Real Estate.

23.8 Headings
Section headings in these Terms of Service are for convenience only and have no legal or contractual effect.

23.9 Third-Party Rights
These Terms of Service confer no rights or remedies on any third parties other than the Indemnified Parties mentioned herein. The Terms are not intended to grant any rights to third parties to enforce any provisions contained herein.
