EU Commercial Terms

If you are located in the European Union (“EU”), your use of Nexus Business Services is governed by these EU Commercial Terms. If you are located in the United Kingdom, your use of the Business Services is governed by the UK Commercial Terms. If you are outside the EU or UK, your use of the Business Services is governed by the standard Commercial Terms.

1. Using Nexus for Business Purposes:

Welcome to Nexus! Nexus is a digital platform designed to support businesses, real estate professionals, and community-driven networks in engaging with their target audiences. Our platform enables businesses to promote services, list properties, interact with local and digital communities, and create meaningful engagement opportunities. Nexus provides specialised tools to support businesses operating within the real estate industry, facilitating digital visibility, marketing, and customer interaction.

These EU Commercial Terms (the "Business Terms"), together with the EU Member Agreement (the "Member Agreement," and collectively the "Terms"), govern your rights and responsibilities when using Nexus Business Services. If you operate a business within the European Union, these terms apply to you. Capitalised terms not otherwise defined in this document have the meanings set forth in the Member Agreement.

By using Nexus Business Services, you confirm that you have read, understood, and agreed to be bound by these Business Terms. If you are accessing Nexus Business Services on behalf of a company, organisation, or legal entity (a "Business"), you represent and warrant that you have the authority to bind such an entity to these Business Terms. You must ensure that your business profile and advertising accurately reflect the full legal name of your entity and comply with applicable disclosure requirements. If you do not agree to these Business Terms, you are not permitted to use Nexus Business Services.

Important Notice: (Governing Law and Dispute Resolution) of the Member Agreement includes an arbitration clause that applies to these Terms.

2. Business Services Eligibility and Compliance:

Nexus Business Services are available to verified businesses operating within the EU. All businesses must comply with applicable EU laws, including consumer protection, digital services, advertising, and data protection regulations. Businesses must provide accurate and up-to-date information regarding their services and must engage with customers professionally and ethically. Nexus reserves the right to verify any business and deny or revoke access if a business is found to be non-compliant.

Restriction, Suspension, and Termination

Nexus may restrict, suspend, or terminate your access to Business Services if you violate these Terms, engage in fraudulent activities, fail to meet regulatory requirements, or participate in conduct that may harm Nexus users or the platform. Prior to taking action, we will provide notice and an opportunity to address the issue unless immediate action is necessary to prevent harm. Businesses may appeal decisions through the Complaint Handling and Dispute Resolution Procedures.

Businesses may terminate their use of Nexus Business Services at any time by deactivating their Business Page and ceasing all commercial activity on the platform. However, any outstanding financial obligations must still be fulfilled.

3. Using Nexus Business Services:

Business Pages and Listings

Business Pages provide businesses with a dedicated online presence to showcase their services, engage with customers, and promote property listings. These pages may be created by businesses, recommended by users, or auto-generated based on publicly available data. Business Pages may be visible to search engines to enhance their digital presence.

Content and Advertising

Businesses may upload content such as real estate listings, service descriptions, advertisements, and customer engagement materials. All content must be truthful, non-misleading, and comply with EU advertising laws. Businesses are responsible for securing the necessary rights for any images, text, or multimedia posted. Nexus retains the right to moderate, amend, or remove content that violates platform guidelines or legal requirements.

Customer Interaction and Reputation Management

Businesses must uphold professional standards in all interactions with users. This includes responding to inquiries professionally, addressing complaints in a constructive manner, and refraining from aggressive marketing practices. Businesses are responsible for managing their reputation and responding to feedback appropriately. Nexus does not mediate disputes between businesses and customers but provides a structured complaint resolution framework.

Data Protection and Privacy

Businesses must comply with the General Data Protection Regulation (GDPR) and other applicable EU data protection laws. This includes obtaining user consent for data collection, securely handling personal information, and providing clear notices on data usage. Businesses must not collect or process sensitive personal data unless explicitly permitted by law.

4. Payments, Subscriptions, and Fees:

Business Service Fees

Some Nexus Business Services require payments, including advertising, premium business listings, and promotional tools. Businesses agree to pay all applicable fees, which are generally non-refundable unless otherwise stated. Payment methods must be maintained and up to date to prevent service disruptions. Nexus reserves the right to suspend services for non-payment.

Subscription Renewals

Subscription-based services automatically renew unless cancelled before the renewal date. Businesses can manage their subscriptions in the account settings. Refunds are not provided for unused subscription periods.

5. Complaint Handling and Dispute Resolution:

Businesses with concerns regarding Nexus Business Services may submit complaints through the Complaint Handling and Dispute Resolution Procedures. Nexus aims to resolve complaints efficiently and fairly. If internal resolution efforts are unsuccessful, disputes may be escalated.

Mediation and Arbitration

If a dispute cannot be resolved internally, businesses may opt for mediation facilitated by:

  • The European Consumer Centres Network (ECC-Net)

  • The Centre for Effective Dispute Resolution (CEDR)

If mediation fails, disputes may be subject to arbitration, with decisions binding under EU law. Businesses agree that disputes will be resolved in EU courts unless arbitration is selected as the preferred method.

6. Legal and Compliance Provisions:

Nexus reserves the right to modify these Business Terms with prior notice. Continued use of Business Services after changes have been made constitutes acceptance of the updated terms. Businesses are responsible for maintaining compliance with EU regulations when using Nexus Business Services.

Businesses may not transfer their rights or obligations under these Terms without prior written consent from Nexus. Any confidential data or proprietary insights provided by Nexus must remain confidential and may not be disclosed to third parties without authorisation.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
