It is important that all users and visitors understand the legal, operational, and organizational distinctions between these two companies — including what each entity is, what services each entity provides, and how they work together to deliver real estate services to clients.

Nothing on this platform, in any associated marketing materials, or in any communications sent by or on behalf of Nexus Real Estate Group, LLC is intended to suggest that the two companies are the same legal entity, share identical ownership structures, or operate without distinction from one another. While affiliated, each company maintains its own legal identity, licensing obligations, operational responsibilities, and areas of service.

2. Identification of Nexus Real Estate Group, LLC

Nexus Real Estate Group, LLC is a limited liability company organized and operating under applicable state law. Nexus Real Estate Group, LLC is the sole owner, developer, and operator of this platform and all technology, tools, content, and services made available through it (the "Platform").

Nexus Real Estate Group, LLC operates as a technology and real estate services intermediary. Its business activities include, but are not limited to, the ownership and operation of a digital platform designed to connect home buyers and sellers with licensed real estate professionals; the coordination of referral relationships between licensed real estate brokerages; the development and management of partnership agreements with hotels, universities, employers, financial institutions, and other third-party organizations; and the provision of related technology tools and client support services.

Nexus Real Estate Group, LLC is not a licensed real estate brokerage. It does not hold a real estate broker's license in any state or jurisdiction. It does not directly represent buyers or sellers in real estate transactions, does not negotiate real estate contracts on behalf of any party, does not collect real estate commissions, and does not administer buyer or seller rebate programs. Any real estate brokerage services — including the administration of buyer and seller rebate programs — made available to users through this Platform are performed exclusively by its affiliated licensed real estate brokerage, Nexus Real Estate.

Nexus Real Estate Group, LLC conducts its operations in accordance with all applicable federal, state, and local laws and regulations governing technology platforms, real estate referral arrangements, consumer protection, data privacy, and related matters.

3. Identification of Nexus Real Estate (Washington, D.C.)

Nexus Real Estate is a licensed real estate brokerage located in Washington, D.C. and an affiliated company of Nexus Real Estate Group, LLC. Nexus Real Estate holds a real estate broker's license issued by the applicable regulatory authority in Washington, D.C. and is licensed to perform real estate brokerage services in its operating jurisdictions.

Nexus Real Estate operates primarily as a referral brokerage, connecting consumers with experienced, vetted, local real estate agents who provide hands-on representation throughout the home buying or selling process. In this capacity, Nexus Real Estate facilitates brokerage-to-brokerage referral agreements, ensuring that consumers are matched with the most qualified agent for their specific needs, market, and transaction type.

In addition to its referral brokerage operations, Nexus Real Estate also has the capacity to operate as a full-service brokerage when the needs of the client require it. In a full-service capacity, Nexus Real Estate can provide direct buyer and seller representation, transaction management, contract negotiation, and all other licensed real estate services permitted under applicable law.

Nexus Real Estate is also solely responsible for the administration of the buyer and seller rebate programs offered in connection with the Nexus Platform. As a licensed brokerage, Nexus Real Estate has the legal authority to receive referral fees from cooperating brokerages and to return a portion of those fees to eligible clients in the form of rebates structured as closing cost credits on the official settlement statement. All rebate program activities — including eligibility determination, rebate calculation, disclosure, and disbursement — are conducted by Nexus Real Estate in its capacity as a licensed brokerage in full compliance with applicable state law and RESPA.

While affiliated with Nexus Real Estate Group, LLC, Nexus Real Estate is a separate and distinct legal entity. Nexus Real Estate maintains its own real estate broker's license, its own licensed agents and employees, its own client relationships, and its own regulatory obligations as a licensed brokerage. Nexus Real Estate is subject to the rules, regulations, and oversight of the applicable State Real Estate Commission(s) and operates in full compliance with all real estate licensing laws in the jurisdictions in which it is licensed.

4. Nature of the Affiliation

Nexus Real Estate Group, LLC and Nexus Real Estate are affiliated companies that work together within a coordinated business structure to deliver integrated real estate services and technology solutions to clients. The affiliation between the two companies is governed by formal written agreements that define the scope, responsibilities, and boundaries of each entity's role.

Within this structure:

Nexus Real Estate Group, LLC owns and operates the Platform, manages partner and affiliate relationships, coordinates client introductions, and provides technology infrastructure and support services.

Nexus Real Estate serves as the licensed brokerage arm of the affiliated structure. In its primary role as a referral brokerage, it connects consumers with licensed, experienced partner agents best suited to serve their needs. Where appropriate, Nexus Real Estate may also provide full-service brokerage representation directly to clients. In all cases, Nexus Real Estate administers the buyer and seller rebate programs, manages brokerage-to-brokerage referral agreements, and ensures that all brokerage activities conducted in connection with Platform referrals comply with applicable real estate licensing laws and regulations.

This affiliation is structured to comply with the Real Estate Settlement Procedures Act (RESPA), applicable state real estate licensing laws, and all other relevant federal and state regulations governing affiliated business arrangements in the real estate industry. Where required by law, clients will receive an Affiliated Business Arrangement (AfBA) disclosure identifying the relationship between Nexus Real Estate Group, LLC and Nexus Real Estate prior to the referral of any settlement services.

5. Distinct Legal Identities & Separate Responsibilities

Notwithstanding their affiliation, Nexus Real Estate Group, LLC and Nexus Real Estate remain distinct legal entities with separate and non-interchangeable roles, responsibilities, and regulatory obligations. The following distinctions are important for all users and clients to understand:

Nexus Real Estate Group, LLC:

  • Owns and operates the Nexus Platform

  • Is not a licensed real estate brokerage

  • Does not hold a real estate broker's license

  • Does not directly represent buyers or sellers

  • Does not negotiate or execute real estate contracts

  • Does not administer buyer or seller rebate programs

  • Manages technology, partnerships, and platform operations

  • Operates as a technology and real estate services intermediary

Nexus Real Estate:

  • Is a licensed real estate brokerage in Washington, D.C.

  • Holds all required real estate licenses in its operating jurisdictions

  • Operates primarily as a referral brokerage, connecting consumers with qualified local agents

  • Has the capacity to provide full-service brokerage representation when appropriate

  • Solely administers the buyer and seller rebate programs

  • Determines rebate eligibility, calculates rebate amounts, issues required disclosures, and disburses rebates as closing cost credits on the settlement statement

  • Enters into brokerage-to-brokerage referral agreements with cooperating brokerages

  • Performs all licensed brokerage activities in connection with Platform referrals

  • Is subject to oversight by the applicable State Real Estate Commission(s)

  • Maintains its own independent client relationships and brokerage operations in addition to its affiliated activities with Nexus Real Estate Group, LLC

Users engaging brokerage services or rebate programs through the Platform are engaging the services of Nexus Real Estate in its capacity as a licensed brokerage. Any representation agreements, referral agreements, rebate disclosures, or brokerage disclosures presented to users in connection with real estate services will be issued by or on behalf of Nexus Real Estate, not Nexus Real Estate Group, LLC.

6. Referral Brokerage Model, Full-Service Capacity & Rebate Administration

Nexus Real Estate's primary mode of operation is as a referral brokerage. In this model, Nexus Real Estate acts as the originating brokerage that receives client inquiries through the Nexus Platform, evaluates the client's needs, location, and transaction type, and refers the client to a qualified, vetted local real estate agent affiliated with a cooperating brokerage. The cooperating brokerage and its agent then provide hands-on real estate representation to the client throughout the transaction.

Upon the successful closing of a referred transaction, the cooperating brokerage pays a referral fee to Nexus Real Estate pursuant to a brokerage-to-brokerage referral agreement. Nexus Real Estate, as the administrator of the buyer and seller rebate programs, then determines the applicable rebate amount and disburses that rebate to the eligible client in the form of a closing cost credit documented on the official HUD-1 Settlement Statement or Closing Disclosure. Rebates are not paid as separate post-closing cash payments. All rebate disbursements are structured and documented in accordance with applicable state law and RESPA.

In situations where a direct referral to a partner agent is not in the best interest of the client, or where the client's needs are better served by direct brokerage representation, Nexus Real Estate has the capacity to operate as a full-service brokerage. In a full-service capacity, Nexus Real Estate may provide the following services directly:

  • Buyer representation and advocacy throughout the home search and purchase process

  • Seller representation, listing services, and marketing coordination

  • Contract preparation, review, and negotiation

  • Transaction management from offer through closing

  • Advisory services on pricing, market conditions, and transaction strategy

  • Coordination with lenders, title companies, inspectors, and other settlement service providers

  • Administration of buyer and seller rebates where applicable and permitted by law

The determination of whether a client will be served through the referral model or the full-service model is made in consultation with the client and based on the specific circumstances of their transaction, their geographic location, and the availability of qualified partner agents in their market.

7. Buyer & Seller Rebate Program — Administered by Nexus Real Estate

The buyer and seller rebate programs offered in connection with the Nexus Platform are administered exclusively by Nexus Real Estate in its capacity as a licensed real estate brokerage. Nexus Real Estate Group, LLC does not administer, fund, or disburse rebates. All rebate-related activities are the sole responsibility of Nexus Real Estate.

Rebate eligibility, amounts, and conditions are subject to the following:

  • Rebates are available to eligible buyers and sellers who close a real estate transaction through a Nexus Real Estate-referred or Nexus Real Estate-represented transaction

  • Rebate amounts are determined by Nexus Real Estate based on the referral fee received from the cooperating brokerage, less applicable costs, and are disclosed to the client prior to closing

  • Rebates are structured as closing cost credits on the official settlement statement and are not disbursed as separate post-closing cash payments, subject to change

  • Rebate eligibility is subject to applicable state law; rebates may not be available in all states

  • All rebates must be disclosed to and approved by the client's lender, if applicable

  • Nexus Real Estate reserves the right to modify, suspend, or discontinue the rebate program at any time, subject to the terms of any applicable client agreement already in effect.

8. RESPA & Affiliated Business Arrangement Disclosure

Because Nexus Real Estate Group, LLC and Nexus Real Estate are affiliated companies, their relationship constitutes an Affiliated Business Arrangement (AfBA) as defined under the Real Estate Settlement Procedures Act (RESPA), 12 U.S.C. § 2601 et seq., and its implementing regulations (Regulation X, 12 C.F.R. Part 1024) unless otherwise stated.

Clients who are referred to Nexus Real Estate through the Nexus Platform will receive a formal RESPA AfBA Disclosure at or before the time of referral. Receipt of the AfBA Disclosure does not obligate clients to use Nexus Real Estate or any other referred service provider. Clients are free to use any licensed real estate brokerage of their choosing. However, choosing not to use Nexus Real Estate may affect the client's eligibility for certain Platform benefits, including buyer and seller rebates, as those benefits are administered by Nexus Real Estate and tied to completed transactions facilitated through the affiliated brokerage structure.

All referral fee arrangements between Nexus Real Estate and cooperating brokerages are conducted on a brokerage-to-brokerage basis and are structured in full compliance with RESPA and applicable state law.

9. Platform Ownership & Intellectual Property

This Platform — including all software, technology, content, designs, workflows, tools, data structures, and related intellectual property — is owned exclusively by Nexus Real Estate Group, LLC. The Nexus Real Estate Group name, logo, and associated branding displayed on this Platform are the property of Nexus Real Estate Group, LLC.

While Nexus Real Estate is an affiliated company, it does not hold an ownership interest in the Platform itself. The branding, trademarks, and intellectual property of Nexus Real Estate remain the property of that company and are distinct from the intellectual property of Nexus Real Estate Group, LLC.

Nexus Real Estate Group, LLC and Nexus Real Estate are jointly committed to transparency and consumer protection.
