However, unless explicitly stated in the Terms of Use for a specific Service ("Product's Terms"), THE SERVICES DO NOT CONSTITUTE OR SUBSTITUTE FOR FINANCIAL, REAL ESTATE, LEGAL, OR OTHER PROFESSIONAL ADVICE, unless otherwise explicitly agreed upon in writing.

By using the Services, you acknowledge and agree that some features may include advertisements, which may be tailored based on data collected through your interactions with Nexus platforms. For further details on how your information is used, please refer to our Privacy Policy.

Affiliations & Broker Disclosures

Nexus Real Estate Group LLC operates as a marketing, and technology company dedicated to connecting clients with communities, properties, and qualified real estate professionals. The Nexus Group, including Nick Nahid, consists of licensed real estate agents affiliated with the Jason Mitchell Group in Massachusetts and New Hampshire, as well as Nexus Real Estate in Washington, D.C. The Jason Mitchell Group functions as a licensed brokerage under its own name. Nick Nahid operates as "Nexus Real Estate" in Washington, D.C. Nexus Real Estate LLC operates as a real estate brokerage in Washington D.C., as well as other affiliated entities showcased on our website or platforms.

Nexus strictly complies with all Fair Housing and Equal Opportunity Housing Laws, ensuring a non-discriminatory real estate marketplace.

Nexus does not solicit properties already under contract with other licensed real estate professionals.

Limitations of Services

Nexus Real Estate Group LLC provides access to self-help resources and technology-driven tools to assist users in learning about properties, connecting with real estate agents, and exploring market opportunities. However, we do not act as decision-makers for property owners nor do we control final transaction outcomes. Our role is to facilitate connections and provide access to essential real estate services, but all property-related decisions remain at the sole discretion of buyers, sellers, landlords, and tenants.

1.F. Age and Capacity; Authority to Bind

By accessing or using the Services, you represent and warrant that you are at least 18 years of age and are legally able to enter into a binding contract under applicable law. The Services are not directed to, and may not be used by, individuals under 18. If you access or use the Services on behalf of a company, organization, or other entity, then (a) "you" and "your" also refer to that entity, (b) you represent and warrant that you are an authorized representative with the authority to bind that entity to these Terms of Use, and (c) you agree to these Terms of Use on the entity's behalf. If you do not meet these requirements, you must not use the Services.

1.G. Property Valuation and Estimate Disclaimer

Any property value estimates, automated valuation figures, price or rent estimates, price histories, market analyses, or similar figures made available through the Services (collectively, "Estimates") are provided on an "as is" basis and for general informational and visibility purposes only. Estimates do not constitute an appraisal, a broker price opinion, or an offer, and may not reflect the actual market value or condition of any property. You may not use or rely on any Estimate for any appraisal, valuation, underwriting, lending, financing, investment, tax, accounting, or legal decision-making purpose. Because individuals affiliated with Nexus may be licensed mortgage loan originators, no Estimate, listing figure, or other content presented through the Services constitutes a commitment to lend, an offer of credit, a rate lock, or a pre-approval. You are solely responsible for conducting your own due diligence and for obtaining independent professional valuation, appraisal, and financing advice.

2. Nexus Real Estate Group LLC Companies' Brands and Businesses

A. Affiliated Brands & Terms of Use

We operate and manage a network of affiliated brands that provide a variety of real estate, marketing, technology, and related services. Any use of Services offered by these affiliated brands is subject to these Terms of Use, in addition to any specific Product Terms or supplemental terms of use that may apply to individual services or features. These additional terms will be outlined on the respective websites, networks, mobile applications, or other platforms through which the services are provided.

By engaging with any of our affiliated brands, you acknowledge and agree to review and comply with the applicable terms governing those specific services, as they may contain important rights, obligations, limitations, and conditions related to your use of the Services.

B. Affiliated Business Relationship Notice

This notice serves to disclose the business relationships between Nexus Real Estate Group LLC and its affiliated service providers. These relationships are established to enhance the range of services available to our clients and to create a more seamless and integrated real estate experience.

Due to these affiliations, any referrals made by Nexus Real Estate Group LLC or its affiliated companies may result in financial benefits for the referred company, its parent entities (including Nexus Real Estate Group LLC), and/or their respective employees, agents, or representatives.

These business relationships allow us to provide efficient, streamlined services, but you retain the sole discretion to decide whether to engage with any affiliated provider or seek alternative service providers.

We encourage you to evaluate all service providers independently and, where appropriate, consult with legal, financial, or real estate professionals before making any decisions regarding real estate transactions or services.

C. Referrals to Unaffiliated Companies

In addition to referrals to affiliated companies, Nexus Real Estate Group LLC may also provide recommendations or referrals to third-party service providers that are not affiliated with our company. These referrals are made based on:

We do not make guarantees regarding the quality, timeliness, legality, or effectiveness of the services provided by unaffiliated companies.

Any agreements, payments, or disputes that arise between you and an unaffiliated service provider are solely between you and that third party.

You are encouraged to conduct your own due diligence and carefully review any terms, contracts, fees, or policies that may apply before engaging with an external service provider.

3. User Materials & Content Usage Policy

A. User Content Responsibilities

When you create, submit, upload, or distribute any real estate listings, property details, images, text, videos, or other forms of content (collectively, "User Content") through our Services, you are solely responsible for the accuracy, legality, and appropriateness of such content. Whether publicly posted or privately transmitted, all User Content remains the responsibility of the individual or entity that submitted it.

By providing User Content, you confirm and warrant that:

All information is truthful, up-to-date, and legally compliant with applicable local, state, and federal regulations.

You own the rights to the content or have obtained all necessary permissions and licenses to submit, display, and share the content.

Your User Content does not infringe upon the rights of any third party, including copyrights, trademarks, trade secrets, privacy rights, publicity rights, or contractual obligations.

Failure to comply with these requirements may result in the removal of content, account suspension, or legal liability.

B. Standards & Prohibited User Content

To maintain a safe, professional, and compliant platform, all User Content must adhere to the following standards:

1. Accuracy & Legality

Do not post false, misleading, or deceptive content. All real estate-related information must be accurate, verifiable, and reflect current property conditions.

Listings must comply with all applicable real estate laws, including disclosure requirements and fair housing regulations.

2. Infringement of Rights

Do not submit content that violates intellectual property rights, including patents, trademarks, trade secrets, or copyrights.

Unauthorized use of another party's confidential or proprietary information is strictly prohibited.

3. Offensive, Discriminatory, or Illegal Content

No hateful, racist, discriminatory, defamatory, harassing, threatening, obscene, or unlawful material.

No nudity, sexually explicit material, or offensive imagery.

No content promoting discrimination based on race, religion, gender, nationality, disability, or any legally protected status.

4. Spam, Fraud, & Security Violations

No fraudulent, deceptive, or misleading content (e.g., fake listings, false advertising, bait-and-switch tactics).

No spam, junk email, chain letters, pyramid schemes, or mass unsolicited communications.

No viruses, malware, or software designed to damage systems, harvest data, or gain unauthorized access.

5. Impersonation & Misrepresentation

Do not impersonate other people, businesses, real estate professionals, or organizations.

Do not falsify your identity, misrepresent affiliations, or forge listing details.

6. Unauthorized Commercial Activities

You may not use the platform to solicit users for third-party businesses, services, or competitor platforms.

Listings, marketing materials, and promotions must be approved and compliant with Nexus Real Estate Group LLC's business policies.

C. User Content License Grant

By submitting User Content through our Services, you grant Nexus Real Estate Group LLC and its affiliates a worldwide, irrevocable, perpetual, royalty-free, fully paid, sublicensable, and transferable license to:

Use, modify, copy, edit, aggregate, translate, distribute, publicly display, and create derivative works of your content.

Promote or redistribute your User Content in any media format, digital platform, or third-party site as necessary to support our Services.

Allow other users of the platform to access and engage with your content.

This license does not transfer ownership of your content but allows Nexus Real Estate Group LLC to legally display, market, and integrate your content into our platform and services.

You acknowledge that we may remove or modify User Content at any time for legal, security, or policy reasons, and that we are not obligated to compensate you for the use of your User Content.

D. Ownership & Intellectual Property Rights

While you retain ownership of the content you create, you acknowledge that:

All other platform materials, including content generated by other users or Nexus Real Estate Group LLC, are legally protected under copyright, trademark, and intellectual property laws.

You do not receive any ownership rights in Nexus Real Estate Group LLC's branding, features, software, listings, databases, or proprietary technology.

You may not copy, reproduce, republish, distribute, or exploit any proprietary content from our Services without express permission.

Google Maps Integration Notice: If you use Google Maps within our Services, your activity is governed by Google's privacy policy and terms of use.

Unauthorized use of Nexus Real Estate Group LLC's brand names, logos, trademarks, service marks, or copyrighted materials is strictly prohibited.

E. User Materials & Third-Party Contributions

Our platform allows users to upload and share materials such as images, videos, text, and data (collectively, "User Materials"). By uploading User Materials, you:

Grant us an irrevocable, worldwide, royalty-free license to use, distribute, modify, and display your User Materials.

Acknowledge that we may sublicense these rights to trusted third parties for promotional, operational, or business purposes.

Agree that we are not required to compensate you for User Materials used in connection with our Services.

We reserve the right to remove, alter, or restrict any User Materials that violate these Terms or are deemed inappropriate.

F. Disclaimer & Content Moderation

We do not actively monitor or verify all User Content, and we are not responsible for any inaccuracies, misrepresentations, or legal violations arising from user-submitted materials.

If you encounter User Content that you believe violates these Terms, you may report it, and we will review and take appropriate action at our sole discretion.

We reserve the right to modify, delete, or restrict content that violates our guidelines, policies, or applicable laws.

If you believe your intellectual property rights have been infringed, please refer to our DMCA Copyright Policy in Section 27 for procedures on reporting and removing unauthorized content.

G. Liability Disclaimer & Waiver

By using our Services, you acknowledge that:

You may be exposed to User Content from other users that is inaccurate, offensive, misleading, or objectionable.

Nexus Real Estate Group LLC is not liable for any harm, damages, or disputes resulting from User Content.

You waive any legal or equitable claims against us related to the display, publication, or distribution of User Content.

4. Third-Party Services, Linked Content, and External Information Sharing

A. Third-Party Services & User Responsibility

The Services provided by Nexus Real Estate Group LLC may include links to third-party products, services, websites, and tools, as well as materials provided by third parties (collectively referred to as "Third-Party Providers"). These third parties operate independently of Nexus Real Estate Group LLC, and we do not control, endorse, or assume responsibility for their actions, policies, or services.

By interacting with Third-Party Providers, you acknowledge and agree that:

You are solely responsible for any User Information (including personal details, financial data, or property-related information) that you choose to share with or submit to third parties.

Your engagement with third-party services or businesses through our platform is entirely at your own risk.

Any business dealings, transactions, or communications with Third-Party Providers are solely between you and the respective third party.

We do not guarantee the security, reliability, or compliance of third-party websites, tools, or services.

If you choose to use any third-party service, product, or platform, you are responsible for reviewing and complying with their individual Terms of Use, Privacy Policies, and any additional agreements.

User Data Transfers. If you use any feature that transfers User Information to a third party, such as contact forms, application submissions, or payment processing tools, you consent to us sharing the necessary information with the applicable third party. 2. Payment & Financial Services

Stripe – Some transactions use Stripe Connect for payments. Use of Stripe services is subject to the Stripe Connected Account Agreement and Stripe's Prohibited Businesses Policy.

Chase Paymentech – Certain services allow payments via Chase. Your use of Chase is subject to Chase Paymentech's Privacy Policy.

Plaid – If you use Plaid to link your bank account for rental payments, your financial information is processed under Plaid's Privacy Policy.

Experian – If you use Experian Connect for credit checks, you agree to Experian Connect's Terms & Conditions.

3. Background Checks & Rental Applications

Checkr – If you submit a background check or rental application via Checkr, you agree that Nexus Real Estate Group LLC may obtain and share your background check report with landlords to whom you apply. You agree to comply with Checkr's Terms of Service.

4. Video & Content Distribution

YouTube API Services – Some services may incorporate YouTube videos. Use of YouTube API services is subject to YouTube's Terms of Service.

D. Protecting Your Information When Using Third-Party Services

To help you safeguard your personal and financial information when dealing with third-party providers, we recommend that you:

Review Third-Party Policies – Before using any third-party service or platform, carefully read their Terms of Use, Privacy Policy, and Data Handling Agreements.

Be Cautious with Data Sharing – Only provide necessary information to third-party providers and avoid sharing sensitive financial or personal details unless required.

Understand Risk & Liability – Nexus Real Estate Group LLC is not responsible for losses, damages, data breaches, or misuse of information by third-party providers.

E. Disclaimer of Liability for Third-Party Actions

By using third-party links, tools, and integrations within our Services, you expressly acknowledge that:

All intellectual property rights in and to the Services, content, features, and technology (collectively, the "Nexus Real Estate Group LLC Companies' Materials") are owned by Nexus Real Estate Group LLC or its third-party licensors. These materials are legally protected and may not be copied, altered, or used without explicit authorization.

By accessing and using our Services, you do not acquire any ownership rights in the Nexus Real Estate Group LLC Companies' Materials or any associated intellectual property. All rights, titles, and interests in and to the Services remain exclusively with Nexus Real Estate Group LLC and its licensors.

B. Intellectual Property Notices & Third-Party Rights

Certain content and datasets used within our platform may be owned by third-party entities, including but not limited to:

ZIP+4 data and address validation content, which is owned by the United States Postal Service (USPS).

Mapping and geographic data sourced from third-party providers such as Google Maps, Apple Maps, or other geospatial services.

Public property listings and real estate descriptions that may be copyrighted by the original listing providers, including MLS (Multiple Listing Service) databases.

We do not assert copyright or ownership over third-party real estate listings, images, or descriptions displayed within our Services. Any use of these materials is subject to the copyright owner's permission and applicable legal restrictions.

Use, distribute, or display our branding, logos, graphics, or copyrighted content in any way that suggests endorsement, sponsorship, or affiliation without our express authorization.

2. Reverse Engineering & Code Tampering

Decompile, disassemble, reverse engineer, or attempt to extract any source code, algorithms, or proprietary technology embedded in our Services.

Manipulate or alter the structure, function, or integrity of the Nexus Real Estate Group LLC platform through hacking, unauthorized modifications, or data extraction.

3. Trademark & Logo Misuse

Use any trademarks, logos, service marks, or proprietary branding owned by Nexus Real Estate Group LLC or its affiliates without express written consent.

Register, claim, or use domain names, business names, social media handles, or advertising keywords that incorporate or are confusingly similar to Nexus Real Estate Group LLC's trademarks.

4. Unauthorized Data Extraction & Scraping

Scrape, harvest, mine, or extract real estate listings, data, or proprietary materials from our platform using bots, automated scripts, or similar technologies.

Use artificial intelligence (AI) tools, automated software, or third-party platforms to generate derivative content based on Nexus Real Estate Group LLC's Services or database.

5. Competitive Misuse

Use any portion of the Services or proprietary content to develop, promote, or operate a competing real estate platform or technology.

Engage in any unauthorized reproduction or imitation of our Services for commercial gain.

D. Enforcement & Legal Rights

We actively monitor and enforce our intellectual property rights to protect the integrity of our Services. If we discover unauthorized use, we reserve the right to take one or more of the following actions:

Issue a cease-and-desist notice to request immediate compliance.

Suspend or terminate user accounts involved in violations.

Pursue legal action to recover damages and prevent further misuse.

Report violations to intellectual property authorities or regulatory agencies.

If you believe your intellectual property rights have been infringed, please contact our Legal Team at legal@nexus.realestate to submit a formal complaint or request content removal.

E. Agreement to Compliance

By using our Services, you acknowledge and agree to:

Respect all intellectual property laws, including copyright, trademark, and patent protections.

Refrain from unauthorized use, reproduction, or distribution of proprietary materials.

Comply with all licensing terms related to third-party integrations, including mapping services, real estate databases, and financial tools.

Failure to comply with these Terms may result in account suspension, legal liability, and enforcement actions to protect Nexus Real Estate Group LLC's proprietary content and intellectual property.

A. Grant of Rights & Unrestricted Use

By voluntarily providing Feedback, you irrevocably grant Nexus Real Estate Group LLC and its affiliated companies a worldwide, perpetual, non-exclusive, fully-paid, royalty-free, irrevocable right and license to:

Use, implement, modify, adapt, and improve our Services based on your Feedback.

Incorporate your ideas into new or existing products, technologies, services, features, and business strategies.

Distribute, commercialize, reproduce, publicly display, and create derivative works from the Feedback.

Share your Feedback internally or externally for research, development, and marketing purposes.

This license is unrestricted, meaning we have the absolute freedom to use your Feedback without any limitations, permissions, or obligations to you.

B. No Compensation & Voluntary Submission

When you provide Feedback, you acknowledge that:

You are not entitled to compensation (monetary or otherwise) for your ideas, suggestions, or contributions.

Your submission is voluntary and made without any expectation of financial benefit, ownership, or formal acknowledgment.

We may use, modify, or ignore your suggestions at our discretion. There is no guarantee that your Feedback will be implemented.

By submitting Feedback, you waive any rights to claim financial compensation, intellectual property ownership, or credits related to its use.

C. No Obligation to Act or Respond

While we welcome and appreciate user input, you understand and agree that:

H. Acknowledgment & Agreement to Terms

By submitting Feedback, you expressly agree that:

You have read, understood, and accepted the terms outlined in this policy.

You relinquish any legal claims regarding the use, commercialization, or distribution of your Feedback.

Nexus Real Estate Group LLC has full discretion over whether to implement, reject, or modify your suggestions.

Your Feedback does not grant you ownership rights, monetary rewards, or legal claims over improvements made to the Services.

If you do not agree with these terms, do not submit Feedback through our platform, surveys, or communication channels.

Below, we outline the processes for deactivation, deletion, termination, service changes, and modifications to this Agreement.

A. User Account Deactivation & Deletion

1. Account Deactivation (Temporary Suspension)

If you wish to temporarily suspend your account, you may do so at any time by selecting the "Deactivate Account" option in your account settings.

Deactivating your account will suspend your access to our Services, but your account data will remain stored in case you decide to reactivate in the future.

Any active transactions, listings, or ongoing services will be paused until reactivation.

Your account information, transaction history, and stored preferences will be retained unless you request permanent deletion.

2. Account Deletion (Permanent Removal of Data)

If you wish to permanently delete your account and associated data, you must submit a formal request by contacting us at support@nexus.realestate with the subject line "Delete My Data".

Once processed, account deletion is irreversible; all personal data, stored transactions, listings, messages, and preferences will be permanently removed from our systems.

Some transaction records may be retained as required by law or for compliance, fraud prevention, and security purposes.

If you have any outstanding balances, fees, or unresolved transactions, these must be settled before your account can be deleted.

By submitting a deletion request, you acknowledge and agree that Nexus Real Estate Group LLC is not responsible for recovering any lost data after deletion.

B. Termination by Nexus Real Estate Group LLC

We reserve the right to suspend, restrict, or terminate your account access at our sole discretion if:

You violate any provision of these Terms of Use or other applicable policies.

Your account activity raises security concerns, including fraud, unauthorized transactions, or illegal use of our Services.

You engage in any behavior that harms, disrupts, or threatens the integrity, functionality, or security of our platform.

We determine that your continued access presents a legal, compliance, or reputational risk.

You engage in harassment, abuse, or prohibited conduct on our platform.

1. Immediate Termination for Policy Violations

Your permission to use our Services will terminate automatically if you engage in prohibited activities, fraudulent conduct, or violations of these Terms of Use.

We may, at our discretion, revoke access without prior notice to protect the security of our platform and users.

If termination occurs due to policy violations, fraud, or legal noncompliance, we may retain your data for investigative or legal purposes.

Any outstanding payments, contractual obligations, or unresolved transactions will remain your responsibility after termination.

2. Right to Suspend or Modify Access

We may suspend, disable, or limit certain account functionalities or services without prior notice.

We are not liable for any damages, lost data, or disruptions caused by account termination or suspension.

If your account is terminated and you believe it was done in error, you may submit an appeal request by contacting legal@nexus.realestate.

C. Changes to Services, Features, or Availability

To maintain and improve our platform, we reserve the right to alter, update, or discontinue any aspect of the Services at any time.

We may modify platform features, system functionalities, data storage policies, pricing structures, or service offerings without prior notice.

Discontinuation of certain services does not entitle users to compensation, refunds, or access to historical data.

We are not responsible for any loss of access to stored information, listings, messages, or saved preferences if a service is discontinued.

If you have an active transaction or contractual obligation, we will provide reasonable notice of service discontinuation whenever possible.

D. Modifications to the Terms of Use

We reserve the right to update, revise, or amend these Terms of Use at any time.

1. Notice of Material Changes

If we make significant updates that materially affect user rights, we will make commercially reasonable efforts to notify users before the changes take effect, via email notifications to registered users, in-app or website alerts upon login, or public announcements or policy updates on our platform.

2. User Responsibility to Review Updates

All changes take effect immediately upon posting, unless otherwise stated.

Your continued use of the Services after updates indicates your acceptance of the revised Terms.

If you disagree with any updates, you must stop using the Services and deactivate your account.

It is your responsibility to regularly review the Terms to stay informed.

E. Acknowledgment & Agreement to These Terms

By using our Services, you acknowledge and agree that you are responsible for understanding and complying with account deactivation, deletion, and termination policies; that Nexus Real Estate Group LLC has the authority to modify, suspend, or terminate services at any time; that you must settle any outstanding fees or transactions before account deletion; and that your continued use of the platform constitutes agreement to any updated Terms of Use.

8. Indemnification & Liability Protection

By using Nexus Real Estate Group LLC's Services, you agree to indemnify, defend, and hold harmless Nexus Real Estate Group LLC, its affiliates, subsidiaries, directors, officers, employees, agents, contractors, licensors, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees and legal expenses) arising from or related to:

A. Your Use of the Services. You are responsible for all actions, transactions, and interactions within the Nexus Real Estate Group LLC platform.

B. Your Breach of These Terms of Use. Examples of breaches include unauthorized use of the platform; failure to follow fair housing, anti-discrimination, or data privacy regulations; engaging in fraudulent, misleading, or deceptive practices; and any misuse of Nexus Real Estate Group LLC's intellectual property, trademarks, or branding.

C. Your Violation of Laws or Third-Party Rights, including intellectual property rights, privacy rights, and contractual rights.

D. Any Dispute Between You and a Third Party, including other users and third-party service providers. You acknowledge that Nexus Real Estate Group LLC is not responsible for resolving such disputes.

E. Liability for User Materials You Upload or Share. You are solely responsible for ensuring that content you upload does not violate copyright, trademark, or privacy laws, does not contain false or illegal information, and does not harm the reputation, security, or financial interests of Nexus Real Estate Group LLC or third parties.

F. Your Willful Misconduct, including deliberate misconduct, fraud, abuse, or unethical behavior.

G. Unauthorized Access & Account Security. You are responsible for maintaining the security of your account credentials.

H. Our Right to Assume Defense & Control of Claims. If Nexus Real Estate Group LLC faces a legal claim due to your actions, we reserve the right to take full control of the legal defense at our own expense, appoint our own legal counsel, and require you to cooperate. If we assume control of the defense, you agree not to settle any claims without our prior written consent.

I. Scope & Duration of Indemnification. This indemnification obligation applies to all current and past actions taken by you while using our Services and survives the termination or deletion of your account.

J. Acknowledgment & Agreement to These Terms. By using the Services, you confirm that you have read and understood this indemnification clause and accept full liability for claims, damages, or legal actions resulting from your actions, violations, or disputes.

9. No Warranties & Assumption of Risk

The Nexus Real Estate Group LLC Companies provide access to the Services on an "AS IS," "WITH ALL FAULTS," and "AS AVAILABLE" basis. By using our Services, you fully assume all risks related to their quality, performance, accuracy, and reliability.

To the maximum extent permitted by applicable law, Nexus Real Estate Group LLC and its affiliates, suppliers, partners, and licensors make no guarantees, warranties, or representations, whether express, statutory, or implied, about the functionality, suitability, or uninterrupted availability of the Services.

A. No Express or Implied Warranties. Nexus Real Estate Group LLC expressly disclaims all forms of warranties, including but not limited to merchantability and fitness for a particular purpose; workmanlike effort and accuracy; title and quiet enjoyment; non-infringement; warranties arising from course of dealing or trade usage; and any guarantee of uninterrupted or error-free access. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM NEXUS REAL ESTATE GROUP LLC OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY UNLESS EXPRESSLY STATED IN THESE TERMS OF USE.

B. Assumption of Risk & User Responsibility. By using the Services, you acknowledge and agree that all risks are yours; that you are solely responsible for damage to your property, hardware, software, or data; that you accept the risks of transactions and interactions with third parties; and that no guarantees are made for listings, data, or third-party content.

C. Limitations Based on Jurisdictional Variations. Some jurisdictions may prohibit or limit the extent to which warranties can be disclaimed. Your rights may vary depending on the laws of your region, and state and federal laws may provide additional protections. See also Section 28.

D. Acknowledgment & Agreement to Terms. By using the Services, you acknowledge that all Services are provided "AS IS" without warranties, understand that Nexus is not liable for financial losses, legal claims, or property damage related to your use, accept responsibility for verifying accuracy and legality, and agree to abide by local laws.

10. Limitation of Liability & Exclusive Remedy

A. Limitation of Liability. To the maximum extent permitted by law, Nexus Real Estate Group LLC, its affiliates, employees, contractors, directors, officers, suppliers, licensors, agents, and representatives shall not be liable for any claims, losses, or damages arising out of or in connection with the Services, regardless of the legal theory (whether contract, tort, strict liability, negligence, or otherwise). This includes, but is not limited to, liability for loss of profits or business opportunities; loss of data; procurement of substitute goods or services; special, indirect, incidental, or consequential damages; and substitute transactions.

Direct Damages Cap. The maximum direct damages Nexus Real Estate Group LLC is liable for shall not exceed the total fees paid by you for the Services in the preceding three (3) months, or $100.00, whichever is lower. These limitations apply even if you were advised of the potential for such damages.

B. Acknowledgment of Risks. By using the Services, you acknowledge and accept user-generated content risks; that Nexus does not control and is not responsible for the conduct of third parties; and that the condition, legality, pricing, availability, or suitability of any property listed is not guaranteed.

C. Releases. By using the Services, you release Nexus Real Estate Group LLC and its affiliates from any and all liability arising from your decision to buy, rent, sell, or lease a property; content accessed through the platform; and interactions with other users. This release extends to our officers, directors, employees, affiliates, agents, successors, and suppliers and covers both known and unknown claims.

D. Waiver of Known and Unknown Claims. To the maximum extent permitted by law, you expressly waive any claims you may not be aware of at the time of agreeing to these Terms.

E. No Warranties. Nexus Real Estate Group LLC provides the Services "AS IS," "WITH ALL FAULTS," and "AS AVAILABLE." Your use of the Services is at your own risk.

F. Indemnification. You agree to indemnify, defend, and hold harmless Nexus Real Estate Group LLC and its affiliates from any and all claims, liabilities, and expenses arising from your use of the Services, your breach of these Terms, your violation of any laws or third-party rights, and your user content.

G. Changes to Terms. We reserve the right to modify these Terms of Use at any time. Changes will take effect immediately upon posting. Your continued use of the Services after changes are posted constitutes your acceptance of the new Terms.

11. Choice of Law & Jurisdiction

By using the Nexus Real Estate Group LLC Services, you expressly agree that these Terms of Use and any disputes, claims, or legal proceedings arising out of or relating to the Services shall be governed by and interpreted under the laws of the State of Massachusetts, without regard to its conflict of laws principles.

A. Jurisdiction and Venue. You irrevocably consent to the personal and exclusive jurisdiction of the state and federal courts in Essex County, Massachusetts, for any and all disputes arising under or related to these Terms of Use. Any legal action must be filed and litigated exclusively in the courts located in Essex County, Massachusetts. You waive any right to object to Essex County, Massachusetts, as an inconvenient or improper forum.

B. Location of Operation & Compliance with Local Laws. The Nexus Real Estate Group LLC Companies operate the Services from their headquarters in Massachusetts. We do not represent or warrant that the Services are appropriate or available for use outside Massachusetts. If you use the Services from another location, you do so voluntarily and at your own risk and are solely responsible for compliance with local laws.

C. Governing Law & Forum Selection Benefits. Choosing Massachusetts law ensures consistency in legal interpretation, prevents conflicts over venue, and streamlines dispute resolution.

D. Exceptions & Additional Considerations. If any portion of this provision is found unenforceable, the remaining provisions continue in full force and effect. International users waive any local-jurisdiction legal protections that conflict with these Terms. Massachusetts law will exclusively govern any and all disputes.

12. General Provisions

A. Export Compliance. You agree that you will not export, re-export, transfer, or release any part of the Services except in full compliance with all applicable export control laws, including the U.S. Export Administration Regulations (EAR), OFAC Regulations, and the International Traffic in Arms Regulations (ITAR). See Section 18 for detailed export terms.

B. U.S. Government Use. The Services are classified as "commercial computer software." Any use, reproduction, or disclosure by the U.S. Government is subject to the restrictions set forth in FAR 12.212 and DFARS 227.7202, as applicable.

C. Amendments & Modifications. We reserve the right to update these Terms of Use periodically. Your continued use of the Services after modifications constitutes acceptance of the updated Terms.

D. Severability Clause. If any provision is found invalid, illegal, or unenforceable, that provision will be modified or replaced with a valid provision that best reflects the original intent, and the remaining terms continue in full force and effect.

E. Section Titles. Section headings are for reference and convenience only and have no legal significance.

F. Assignment & Transfer of Rights. We reserve the right to assign, transfer, or delegate our rights and obligations at any time without prior notice. You may not assign or transfer your rights without our express written consent. Any attempt to assign in violation of this provision is null and void.

G. Waiver of Rights. Failure to enforce any provision is not a waiver of that provision or any other rights. Any waiver of a breach must be in writing and signed by an authorized representative of Nexus Real Estate Group LLC.

H. Entire Agreement. These Terms of Use, along with any expressly incorporated agreements and policies, constitute the entire agreement between you and Nexus Real Estate Group LLC regarding your use of the Services and supersede all prior communications.

I. Notices & Communications. Legal notices should be sent by email to legal@nexus.realestate or by certified mail to our registered business address. We may send notices through email, platform notifications, or public announcements.

J. Force Majeure. We shall not be held liable for any failure to perform due to events beyond our reasonable control, including natural disasters, acts of war or terrorism, government actions, strikes, or failure of third-party service providers or telecommunications networks.

K. Relationship of the Parties. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Nexus Real Estate Group LLC.

L. Survival of Terms. Certain provisions survive termination, including intellectual property rights, indemnification obligations, warranty disclaimers, limitations of liability, and choice of law and jurisdiction provisions.

M. Governing Language. These Terms are written exclusively in English. In the event of any discrepancies between translations, the English version prevails.

13. Consent to Communications

By using the Nexus Real Estate Group LLC Services, you expressly consent to receiving electronic communications from us, as outlined in our Privacy Policy. These communications may be sent via email, SMS, phone calls, push notifications, in-app messages, or other electronic means.

A. Types of Communications You May Receive. Legal notices and important updates; service-related announcements; transaction-related communications; marketing and promotional communications (optional); and customer support and surveys.

B. Agreement to Receive Electronic Communications. You agree that any notices, agreements, disclosures, or communications that we send you electronically will satisfy any legal requirements that such communications be in writing, and you waive any right to require physical copies unless otherwise required by law.

C. Communications Through Web Forms, Links, or Contact Information. Certain features may include web forms, clickable links, phone numbers, chat tools, or messaging portals that route your communications through third-party providers or tracking services ("Communications Service"). By using these tools, you expressly consent to such communication tracking.

D. Call Recording & Monitoring. For quality assurance, training, fraud prevention, dispute resolution, or customer service purposes, we may record or monitor phone calls. You will be notified at the beginning of a recorded call, and by continuing the conversation you expressly consent to call recording and monitoring. If you do not consent, you must terminate the call and contact us through alternative methods.

E. Tracking Phone Calls & Text Messages. By placing calls or sending text messages through our platform, you agree to call and message data collection, including date, time, duration, the phone number used, and the content of text messages, for the purposes of service quality, compliance, security, transaction accuracy, dispute resolution, and fraud detection.

F. Privacy & Data Handling. All data collected through communications is handled in accordance with our Privacy Policy and applicable privacy laws.

We take the protection of your personal information seriously and implement industry-standard safeguards. You have the right to opt out of certain communications as described below.

G. Managing Your Communication Preferences. If you prefer not to receive marketing emails, texts, or promotional offers, you may click the "Unsubscribe" link in any marketing email, reply "STOP" to any promotional SMS message, adjust your communication preferences in your account settings, or email us at support@nexus.realestate. While you can opt out of marketing communications, you will still receive essential transactional, legal, or security-related messages, including account updates and verification messages, legally required notifications, security and fraud alerts, and transaction confirmations.

H. Changes to Communication Terms. We reserve the right to update this Consent to Communications policy at any time. Any changes will be effective immediately upon posting.

13.I. SMS / Text Messaging Program Terms (TCPA)

By providing your mobile telephone number to Nexus and opting in, you expressly consent to receive recurring calls and text messages from Nexus Real Estate Group LLC, its affiliates, and its agents at that number, including calls and messages delivered using an automatic telephone dialing system and/or an artificial or pre-recorded voice, and including messages sent for marketing purposes.

You acknowledge and agree that:

Consent to receive marketing calls or texts is not a condition of purchasing any goods or services.

Message frequency varies based on your activity and preferences.

Message and data rates may apply, and you are responsible for any such charges from your carrier.

You may opt out of text messages at any time by replying STOP to any message. You may reply HELP for assistance. Carriers are not liable for delayed or undelivered messages.

You represent that you are the subscriber or the customary user of the phone number you provide, and that you will notify us if you relinquish or change that number.

Your use of our text messaging program is also governed by our SMS Terms of Service and our Privacy Policy, each of which is incorporated into these Terms of Use by reference.

B. Legal and Licensing Disclosures

Nexus Real Estate Group LLC and its affiliated real estate agents, brokers, and service providers operate in accordance with all applicable local, state, and federal real estate laws.

Equal Housing Opportunity. We adhere to Fair Housing laws and are committed to ensuring that all clients have equal access to housing. Discrimination based on race, color, religion, sex, disability, familial status, national origin, or any other protected class is strictly prohibited.

Real Estate Licenses & Compliance. Our agents and brokers are licensed in Massachusetts, New Hampshire, and Washington, D.C. under the Jason Mitchell Group and Nexus Real Estate.

Business Affiliations & Disclosures. Nexus Real Estate Group LLC may have business relationships with affiliated service providers, including mortgage lenders, title companies, home inspectors, property management firms, and legal professionals. If you choose to work with an affiliated service provider, you may be required to review and sign a separate Affiliated Business Arrangement Disclosure in accordance with the Real Estate Settlement Procedures Act (RESPA).

C. How to Report Issues or File Complaints

Step 1: Email a detailed description of the issue to support@nexus.realestate, including your full name, contact details, transaction details (if applicable), and supporting documentation. Our team will respond within 5 to 7 business days.

Step 2: If your concern is not resolved, mail a written notice to: Compliance & Legal Department, Nexus Real Estate Group LLC, 205 River St, Haverhill, MA 01832.

D. Changes to Contact Information & Licensing Notices. We reserve the right to update our contact details, office locations, licensing affiliations, or legal disclosures at any time. Your continued use of the Services following any updates constitutes your acceptance of the modified details.

15. License Grant

A. Grant of Limited License. Subject to these Terms of Service, we grant each user of the Services a non-exclusive, non-sublicensable, non-transferable, and revocable license to access and use the Services, including viewing, downloading, and displaying any available Content for personal, non-commercial use only. This license does not transfer any ownership rights.

B. Permitted Uses. Under this limited license, you may access and use the Services for your personal, non-commercial purposes; view, download, and temporarily store Content on your personal device for private use only; and share publicly available Content only through provided social sharing features (if applicable).

C. Prohibited Uses. Without prior written authorization, you shall not engage in commercial exploitation; provide services to third parties using Content from the Services; violate copyright or intellectual property; scrape or perform automated data extraction; or interfere with platform operations.

D. Special License Rights for Nexus Agents. Licensed real estate agents affiliated with Nexus Real Estate Group LLC ("Nexus Agents") are granted additional commercial rights in accordance with their Independent Contractor Agreement (ICA) and other applicable policies. Nexus Agents may use certain platform tools and Content for professional real estate transactions and client services, market and share approved property listings, and access specialized agent resources. Unauthorized use may result in license revocation and disciplinary action.

E. Restrictions on Non-Nexus Real Estate Professionals. Unless you are an authorized Nexus Agent, you may not commercially use Content from the Services, advertise or claim Nexus property listings without permission, copy or reproduce real estate data, or solicit Nexus clients, homeowners, sellers, or other customers.

F. Availability & Removal of Content. We do not guarantee that any specific Content or listing will be available at all times, and we reserve the right to modify or remove Content, block or restrict access, and refuse service or terminate accounts for misuse.

16. Arbitration Clause and Class Action Waiver; Waiver of Jury Trial

IMPORTANT: PLEASE REVIEW THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

This Section requires most disputes between you and Nexus Real Estate Group LLC to be resolved first through an informal process and then, if unresolved, through final and binding individual arbitration. It also contains a class action waiver and a jury trial waiver.

16.A. Informal Dispute Resolution (Condition Precedent).

Before initiating any arbitration or lawsuit, the parties agree to first attempt in good faith to resolve any dispute, claim, or controversy (a "Dispute") informally. The party raising the Dispute must send a written notice describing it to the other party. For any Dispute against Nexus, you must send written notice to legal@nexus.realestate that includes your name, the email address associated with your account, a description of the nature and basis of the claim, and the specific relief sought. For any Dispute Nexus raises, we will send notice to the email address associated with your account.

The parties will attempt to resolve the Dispute through good-faith negotiation for sixty (60) days after the notice is received. Engaging in this informal process in good faith is a condition precedent to commencing arbitration or litigation. Any applicable statute of limitations and any filing deadlines will be tolled while the parties engage in this process. This subsection does not apply to disputes involving either party's intellectual property rights or claims that may be brought in small claims court, which may be pursued directly.

16.B. Agreement to Arbitrate.

If the informal process does not resolve the Dispute within sixty (60) days, then any Dispute between you and Nexus Real Estate Group LLC arising out of or relating to these Terms of Service, your use of the Services, the rights of privacy or publicity, or any other dispute between you and Nexus, including any claim that all or any part of these Terms are void or voidable and any dispute about the scope or applicability of this arbitration agreement, will be resolved exclusively through final, binding arbitration, conducted in accordance with the American Arbitration Association's (AAA) Consumer Arbitration Rules.

YOU EXPRESSLY WAIVE YOUR RIGHT TO A TRIAL BY JURY.

This arbitration agreement is governed by the Federal Arbitration Act (FAA), including with respect to its interpretation and enforcement.

16.C. Arbitration Administration & Procedures.

If AAA is unable or unwilling to conduct the arbitration within 160 days of filing, the arbitration will be administered by Judicial Arbitration and Mediation Services (JAMS). The arbitration will be conducted by a single arbitrator who is either a retired judge or a licensed attorney with experience in real estate law. The arbitrator will apply Massachusetts state law. The entire arbitration process, including rulings, will remain confidential. The arbitration will take place in Essex County, Massachusetts, unless another location is mutually agreed upon or the applicable rules provide for a documentary, video, or telephonic proceeding.

16.D. Costs & Fees. Nexus Real Estate Group LLC will cover arbitration fees for claims under $10,000, unless the arbitrator determines the claims are frivolous. Each party bears its own legal fees, except where required by law or the applicable rules. If the arbitrator rules against you, Nexus may seek attorney's fees only if the claim is found to be frivolous.

16.E. No Class Actions or Representative Claims. You agree that any dispute must be resolved on an individual basis. NO CLASS ACTIONS. NO CLASS ARBITRATIONS. NO PRIVATE ATTORNEY GENERAL CLAIMS. You waive the right to act as a class representative or class member in any class action, mass arbitration, or collective proceeding. If this class action waiver is deemed unenforceable, then this entire arbitration section will be void.

16.F. Waiver of Jury Trial. By agreeing to these Terms, you waive your right to a jury trial, and all Disputes must be arbitrated as described above.

16.G. Mass / Batch Arbitration.

To increase the efficiency of administration and resolution, if 100 or more similar arbitration demands (asserting the same or substantially similar facts or claims and seeking the same or substantially similar relief) are submitted by or with the coordination or assistance of the same law firm(s) or organization(s) (a "Mass Filing"), the parties agree that the demands will be administered in sequential batches of approximately 100 demands per batch. The parties agree to designate one arbitrator per batch, to accept any applicable fee reductions set by the administrator, and that no demand in a Mass Filing may be filed, processed, or adjudicated until the batch in which it is included is properly designated. All applicable limitations periods remain tolled for demands in a Mass Filing until each demand is decided, withdrawn, or settled. This provision does not authorize class arbitration and does not increase the number of claims necessary to trigger any administrator's mass-filing rules. Any dispute about whether or how this provision applies will be decided by a procedural arbitrator appointed by the administrator.

16.H. Severability & Survival. If any part of this arbitration agreement is found invalid or unenforceable, the rest remains in full effect, except that if the Class Action Waiver in 16.E is found unenforceable, then this entire arbitration section is void. This arbitration agreement survives any termination of your account or use of the Services.

16.I. Right to Opt Out. If you do not want to be bound by this arbitration agreement, you must send a written opt-out request within 30 days of first using our Services (or within 30 days of the effective date of this version if you first used the Services earlier). Include your full name, your account username (if applicable), and a clear statement that you are opting out of arbitration. Send the notice to: Nexus Real Estate Group LLC, 205 River St, Haverhill, MA 01832, Attn: Legal Department, or to legal@nexus.realestate with the subject line "ARBITRATION OPT-OUT." If you opt out, you may pursue claims in court but still waive your right to participate in a class action.

16.J. Governing Law & Small Claims Exception. This arbitration agreement is governed by the FAA, and the arbitrator will apply Massachusetts law. Either party may bring an individual claim in small claims court if it qualifies under that court's monetary limits and is not part of a class action. If a claim is not subject to arbitration, the parties agree that the courts identified in Sections 11 and 17 will have exclusive jurisdiction.

16.K. Future Changes to Arbitration Clause. We will provide at least 30 days' notice of any material change to this Section. You may reject the change by sending written notice to the Legal Department within 30 days of the change, in which case the prior version of this arbitration agreement will apply to claims not yet filed.

By continuing to use the Services, you agree to this Arbitration Clause and Class Action Waiver.

17. Governing Law and Jurisdiction

A. Governing Law. These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of Massachusetts, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

B. Jurisdiction and Venue. Without limiting the arbitration obligations in Section 16, if any dispute must be brought to court rather than arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Massachusetts. You waive any right to object to these courts as an inconvenient forum.

C. Statute of Limitations. YOU AGREE THAT ANY LEGAL CLAIM OR CAUSE OF ACTION ARISING FROM OR RELATING TO THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR FROM THE DATE THE CLAIM FIRST AROSE, OR ELSE IT IS PERMANENTLY BARRED, to the extent permitted by applicable law.

D. Exceptions and Acknowledgment. If a dispute falls under mandatory arbitration (Section 16), it must be resolved through arbitration. By continuing to use our Services, you acknowledge and agree to these jurisdiction, venue, and time limitations.

18. Export Control

A. Compliance with U.S. Export Laws and Regulations. By using the Services, you represent and warrant that you and any listing, transaction, or business activity associated with your account are not located in or operating from any country subject to a U.S. Government embargo (currently including Cuba, Iran, North Korea, Syria, and the Crimea region of Ukraine, among others as updated by OFAC), and that you do not conduct business with individuals or entities in countries designated as terrorist-supporting.

You further represent that you are not listed on any U.S. Government list of prohibited or restricted parties, including the Specially Designated Nationals and Blocked Persons (SDN) List, the Denied Persons List, or the Entity List. You agree not to use the Services for any purpose prohibited under U.S. law, including the development or distribution of weapons of mass destruction.

B. Export and Re-export Restrictions. You may not use, export, re-export, import, or transfer the Services or associated technology except as authorized by U.S. federal law and the laws of the jurisdiction where you access the Services.

C. Specific Restrictions. You may not use the Services in connection with missile, nuclear, chemical, or biological weapons technology, and you must ensure all transactions comply with U.S. export control regulations. You are responsible for screening counterparties.

D. Consequences of Non-Compliance. Violating U.S. export control or sanctions laws can result in severe civil and criminal penalties. If we determine that your use violates any applicable export control or sanctions law, we reserve the right to immediately terminate or suspend your account, block or restrict access, and report violations to the appropriate U.S. Government authorities. We reserve the right to screen users against applicable sanctions lists.

19. Mobile Application Terms

A. General License for Mobile Applications. If the Services are offered as a mobile application ("Application"), you are granted a limited, non-exclusive, non-transferable, and non-sublicensable license to download, install, and use a single copy of the Application on a personal mobile device or computer that you own or control, subject to these Terms. You may not install or use the Application on any device you do not own or control, distribute or sublicense it, or reverse-engineer it. We reserve all rights not expressly granted.

B. Apple Applications. If you download the Application from the Apple App Store, these Terms are between you and us only, not Apple. Apple does not assume responsibility for the Application. We, not Apple, are responsible for addressing claims relating to the Application. You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. You represent that you are not located in an embargoed or terrorist-supporting country and are not on any U.S. restricted-party list.

C. Android Applications. If you download the Application from the Google Play Store, these Terms are between you and us only, not Google. Google does not assume responsibility for the Application. We, not Google, are responsible for addressing claims relating to the Application. You acknowledge that Google and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

D. Other Third-Party Applications. If the Services are available through other marketplaces (such as the Amazon Appstore, Samsung Galaxy Store, or Huawei AppGallery), you must comply with the terms of the respective platform.

E. Violation of Mobile Application Terms. If you fail to comply, we may revoke your license, restrict or suspend your account, and take legal action. Your continued use of the Application after modifications constitutes acceptance of the updated terms.

20. Referrals to Other Brokers/Agents and Service Providers

A. Overview of Referral Services. As part of our commitment to streamlining the home-buying, selling, and renting processes, we may refer users to third-party service providers, including real estate brokers and agents, mortgage lenders and financial institutions, escrow and settlement companies, home inspectors and appraisers, contractors and home repair services, and moving and relocation service providers. Nexus Real Estate Group LLC does not guarantee, endorse, or assume responsibility for these third-party services, and we strongly encourage users to conduct independent due diligence.

B. Trusted Providers Program. The Trusted Providers Program enables real estate agents to recommend service providers they have personally worked with and trust. Key considerations: participation by consumers is voluntary and not required to complete a transaction; agents are strictly prohibited from accepting or providing compensation in exchange for recommending a Trusted Provider, in compliance with the Real Estate Settlement Procedures Act (RESPA); relationships between agents and Trusted Providers are independent; and all agents and service providers must adhere to federal, state, and local laws, including RESPA.

C. Consumer Responsibilities & Due Diligence. Before engaging with a Trusted Provider, consumers should conduct due diligence, review the provider's reviews, licenses, and references, understand all terms and conditions, and seek independent professional advice where appropriate.

D. No Endorsement or Liability Disclaimer. By using the Trusted Providers Program, you acknowledge that Nexus does not verify or certify the qualifications of any Trusted Provider, that inclusion is not an endorsement, that Nexus is not liable for any service disputes or negligence by a provider, and that consumers are free to use any provider of their choice. Using a Trusted Provider is optional.

21. Payment, Subscriptions, Billing, and Refunds

A. Fees and Authorization to Charge. Certain aspects of the Services may be provided for a fee. If you elect to use any paid aspect of the Services, you agree to the pricing, payment, billing, and refund terms applicable to those fees. You authorize Nexus Real Estate Group LLC (or our third-party payment processor) to store your payment method and to charge that payment method for all fees, charges, applicable taxes, and third-party or government fees incurred in connection with your use of the Services. We may add new fee-based services or amend the fees for existing services at any time in our sole discretion, subject to the notice terms below for subscriptions.

B. Taxes. You are responsible for any applicable sales, use, or other taxes associated with your purchases, other than taxes based on our net income.

C. Subscriptions and Automatic Renewal. Some Services may be offered on a one-time basis and others on a recurring subscription basis. BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE US TO INITIATE RECURRING PAYMENTS TO YOUR PAYMENT METHOD ON FILE. Your subscription will begin with an initial term as specified at the time of purchase and will automatically renew for successive periods of the same length at the then-current, non-promotional price, unless and until you cancel. Your payment method will be charged at the start of each renewal term.

D. Renewal Notice. Where required by law, and for any subscription with a term of one year or longer, we will send a renewal reminder to the email address associated with your account before your subscription renews, stating the renewal date and how to cancel.

E. Cancellation. You may cancel the automatic renewal of your subscription at any time through your account settings or by emailing support@nexus.realestate. To avoid being charged for the next period, your cancellation must be received before the next scheduled renewal date. If you cancel, your access continues through the end of your current paid term, after which the subscription terminates.

F. Refunds. Except where required by applicable law, all purchases are final and fees are non-refundable, including for any unused portion of a subscription term. Any refund, credit, or discount we may provide is at our sole discretion and on a case-by-case basis, and issuing one does not obligate us to issue the same or similar accommodation in the future.

G. Promotional Rates and Trials. From time to time we may offer trials or promotional rates, subject to these Terms except as otherwise stated in the offer. Unless stated otherwise, only one trial or promotional rate is available per household, and it may not be combined with other offers. At the end of the promotional period, your subscription will automatically renew at the then-current standard rate unless you cancel before the promotional period ends. We do not provide price protection or refunds for price drops or later promotional offerings.

H. Upgrades and Proration. If you upgrade to a more expensive plan during a subscription term, you will not receive a cash refund for the unused portion of your prior plan; instead, we will apply the prorated value of the remaining time as a credit toward the upgraded plan. Your new term begins on the date of the upgrade.

I. Changes to Renewal Price. We may change the renewal price for your subscription upon notice to you. Any change takes effect only upon the next renewal following the notice. If you do not wish to renew at the changed price, you must cancel before that renewal date; continued use after the change takes effect constitutes acceptance.

J. Failed Payments. If any charge to your payment method fails, we may suspend or terminate your access to the paid Services without notice. We may receive and use updated payment information from your card issuer to help prevent interruption.

K. Employer-Sponsored and Third-Party Benefit Access. From time to time, your access to the Services may be purchased on your behalf by a third party, such as an employer, relocation program, or membership organization, as part of a benefit program (a "Third-Party Benefit"). In such cases, your access is subject to the agreement between Nexus and that third party, including its duration and scope, and your use remains subject to these Terms of Use. If your eligibility for the Third-Party Benefit ends (for example, upon cessation of employment), your access may cease unless you purchase an individual subscription.

22. Concierge and Limited Account Authorization

We may offer a concierge or assisted-service option that allows you to authorize Nexus member support personnel to access your account and make changes to your information or documents on your behalf. By requesting this service, you expressly grant our authorized personnel a limited authorization to act as your agent solely for the purpose of fulfilling your specific request. You are solely responsible for clearly communicating the desired changes and for reviewing and approving any modifications made on your behalf. You acknowledge that communications and activities related to this service may be recorded and stored, and you agree that Nexus is not liable for any errors, omissions, or inaccuracies resulting from changes made at your direction.

23. Artificial Intelligence Features

We may use technologies including artificial intelligence and large language models ("AI Features") to operate, support, and improve the Services, including for customer support, marketing, workflow automation, and the analysis or extraction of information from content you provide. In providing AI Features, we may use third-party or externally hosted models and tools.

When you use AI Features, you may provide information ("Input") and receive generated results ("Output"). You are responsible for your Input and for ensuring it does not violate applicable law or these Terms, and you represent that you have all rights and consents necessary to provide it. As between you and Nexus, you retain your rights in your Input and own the Output, subject to the licenses you grant elsewhere in these Terms.

AI Output may be inaccurate, incomplete, or not current, and it does not constitute legal, financial, tax, real estate, or other professional advice. You should not rely on Output as a substitute for professional advice or independent verification. Where AI Features are used to extract or transcribe information from documents or listings (including names, addresses, prices, parcel numbers, or property descriptions), we do not guarantee the accuracy of that extraction or transcription, and you are solely responsible for reviewing and verifying all such information before relying on it.

24. Tax Advice Disclaimer

Nexus Real Estate Group LLC does not provide tax advice of any type or for any purpose. Any information regarding taxes in any communication from Nexus or through the Services is intended only for general education and is not to be construed or relied upon as tax advice. You should consult a qualified tax professional regarding your specific situation. Any U.S. federal tax information contained in any communication from Nexus is not intended or written to be used, and cannot be used, for the purpose of avoiding penalties under the Internal Revenue Code or promoting, marketing, or recommending any transaction or matter to another person.

25. Financial Advice and Third-Party Data Disclaimer

Nexus Real Estate Group LLC does not provide financial, investment, or lending advice of any type or for any purpose through the Services, and nothing on the Services constitutes an offer of credit, a commitment to lend, or a recommendation to enter into any financial transaction. Any financial information presented through the Services is for educational and informational purposes only.

The Services may integrate with third-party financial-data or property-data providers (for example, Plaid, Experian, or valuation-data providers). We do not control and cannot guarantee the accuracy, completeness, timeliness, or reliability of any data provided through such third-party integrations, and any graphics, estimates, or content regarding your financial assets, property values, or financial health may not present an accurate picture. You are responsible for verifying such information and for consulting qualified professionals before making any financial or lending decision. Any mortgage-related services provided by an individual affiliated with Nexus in their capacity as a licensed mortgage loan originator are governed by separate disclosures and agreements required under applicable federal and state lending law, and not by these Terms of Use.

27. DMCA Copyright Policy and Designated Agent

Nexus Real Estate Group LLC respects the intellectual property rights of others and responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act of 1998 (the "DMCA"). If you believe that content available through the Services infringes a copyright you own or control, you may submit a written notice to our designated agent that includes:

A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest;

Identification of the copyrighted work claimed to have been infringed;

Identification of the material that is claimed to be infringing and information reasonably sufficient to allow us to locate it on the Services;

Information reasonably sufficient to permit us to contact you, such as your address, telephone number, and email address;

A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

UNDER FEDERAL LAW, IF YOU KNOWINGLY MISREPRESENT THAT MATERIAL IS INFRINGING, YOU MAY BE SUBJECT TO CIVIL PENALTIES, INCLUDING MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS' FEES, AND TO CRIMINAL PROSECUTION FOR PERJURY.

28. State-Specific Provisions and Consumer Carve-Outs

Some jurisdictions do not allow certain warranty disclaimers, limitations of liability, or other provisions, and some state consumer-protection statutes provide rights that cannot be waived. To the extent any provision of these Terms is prohibited or limited by the law applicable to you as a consumer, that provision applies to you only to the maximum extent permitted by that law, and nothing in these Terms is intended to waive any right or remedy that cannot lawfully be waived. All other provisions remain in full force and effect.
