C. User Content License Grant

By submitting User Content through our Services, you grant Nexus Real Estate Group LLC and its affiliates a worldwide, irrevocable, perpetual, royalty-free, fully paid, sublicensable, and transferable license to:

  • Use, modify, copy, edit, aggregate, translate, distribute, publicly display, and create derivative works of your content.

  • Promote or redistribute your User Content in any media format, digital platform, or third-party site as necessary to support our Services.

  • Allow other users of the platform to access and engage with your content.

This license does not transfer ownership of your content but allows Nexus Real Estate Group LLC to legally display, market, and integrate your content into our platform and services.

You acknowledge that we may remove or modify User Content at any time for legal, security, or policy reasons, and that we are not obligated to compensate you for the use of your User Content.

5. Competitive Misuse

  • Use any portion of the Services or proprietary content to develop, promote, or operate a competing real estate platform or technology.

7. Account Deactivation, Termination, and Changes to the Agreement:

At Nexus Real Estate Group LLC, we recognize that users may choose to deactivate or delete their accounts for various reasons. Additionally, as part of our commitment to providing a secure and adaptable platform, we reserve the right to make modifications to our Services, Terms of Use, and user access policies as needed. Below, we outline the processes for deactivation, deletion, termination, service changes, and modifications to this Agreement.

A. User Account Deactivation & Deletion

1. Account Deactivation (Temporary Suspension)

If you wish to temporarily suspend your account, you may do so at any time by selecting the “Deactivate Account” option in your account settings.

  • Deactivating your account will suspend your access to our Services, but your account data will remain stored in case you decide to reactivate in the future.

  • Any active transactions, listings, or ongoing services will be paused until reactivation.

  • Your account information, transaction history, and stored preferences will be retained unless you request permanent deletion.

2. Account Deletion (Permanent Removal of Data)

If you wish to permanently delete your account and associated data, you must submit a formal request by contacting us at support@nexus.realestate with the subject line "Delete My Data".

  • Once processed, account deletion is irreversible—all personal data, stored transactions, listings, messages, and preferences will be permanently removed from our systems.

  • Some transaction records may be retained as required by law or for compliance, fraud prevention, and security purposes.

  • If you have any outstanding balances, fees, or unresolved transactions, these must be settled before your account can be deleted.

By submitting a deletion request, you acknowledge and agree that Nexus Real Estate Group LLC is not responsible for recovering any lost data after deletion.

B. Termination by Nexus Real Estate Group LLC

15. License Grant:

A. Grant of Limited License

Subject to these Terms of Service, we grant each user of the Services a non-exclusive, non-sublicensable, non-transferable, and revocable license to access and use the Services, including viewing, downloading, and displaying any available Content for personal, non-commercial use only.

This license does not transfer any ownership rights in the Services or the Content to you, but it permits you to use the Services in a manner consistent with these Terms. Unauthorized uses of the Services or Content are strictly prohibited.

B. Permitted Uses

Under this limited license, you may:

  • Access and use the Services for your personal, non-commercial purposes.

  • View, download, and temporarily store Content on your personal device for private use only.

  • Share publicly available Content only through provided social sharing features (if applicable).

C. Prohibited Uses

You shall not do any of the following without prior written authorization from Nexus Real Estate Group LLC:

  • Commercial Exploitation: Sell, license, rent, share, publish, or otherwise use any Content or materials for commercial gain or business purposes.

  • Providing Services to Third Parties: Use any Content from the Services in connection with real estate transactions, consulting services, or any other business-related activities unless expressly permitted.

  • Copyright & Intellectual Property Violations: Modify, copy, reproduce, distribute, publicly display, perform, or otherwise use any Content in a manner that violates third-party intellectual property rights.

  • Data Scraping & Automated Extraction: Use any manual or automated means (bots, crawlers, scrapers, etc.) to collect, aggregate, mine, or extract data from the Services for any unauthorized use.

  • Interference with Platform Operations: Attempt to reverse engineer, disrupt, or modify any aspect of the Services, including software, databases, or proprietary technology.

D. Special License Rights for Nexus Agents

Licensed real estate agents affiliated with Nexus Real Estate Group LLC (“Nexus Agents”) are granted additional commercial rights to access and use the Services in accordance with their Independent Contractor Agreement (ICA) and other applicable policies.

Nexus Agents May:

  • Use certain platform tools and Content for professional real estate transactions and client services.

  • Market and share approved property listings with clients as permitted by their agreements.

  • Access specialized agent resources provided by Nexus for their business operations.

Nexus Agents must comply with all licensing requirements and ethical obligations set forth in their ICA and local real estate regulations. Unauthorized use may result in license revocation and disciplinary action.

E. Restrictions on Non-Nexus Real Estate Professionals

Unless you are an authorized Nexus Agent, you may not:

  • Market or commercially use the Content from the Services.

  • Advertise, display, or claim Nexus property listings without permission.

  • Copy or reproduce any real estate-related data from the Services.

  • Solicit Nexus clients, homeowners, sellers, or other customers.

Violating this restriction may result in legal action and the termination of your account.

F. Availability & Removal of Content

We do not guarantee that any specific Content or listing will be available through the Services at all times. Nexus Real Estate Group LLC reserves the right to:

  • Modify or remove any Content at any time, with or without notice, for any reason—including compliance concerns, third-party requests, or internal policies.

  • Block or restrict access to Content that may violate these Terms of Service.

  • Refuse service or terminate accounts if a user misuses the platform’s Content in any unauthorized manner.

16. Arbitration Clause and Class Action Waiver; Waiver of Jury Trial:

IMPORTANT: PLEASE REVIEW THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.

A. Agreement to Arbitrate

1. Binding Arbitration Requirement

By using our Services, you agree that any dispute, claim, or controversy between you and Nexus Real Estate Group LLC arising out of or relating to:

  • These Terms of Service

  • Your use of the Services

  • The rights of privacy or publicity

  • Any other dispute between you and Nexus

will be exclusively resolved through final, binding arbitration, conducted in accordance with the American Arbitration Association’s (AAA) Consumer Arbitration Rules.

YOU EXPRESSLY WAIVE YOUR RIGHT TO A TRIAL BY JURY.

Legal Basis: This arbitration agreement is governed by the Federal Arbitration Act (FAA) and supersedes any state arbitration laws. Arbitration is typically faster and less costly than litigation, but it also limits certain legal protections available in court.

2. Arbitration Administration & Procedures

If AAA is unable or unwilling to conduct the arbitration within 160 days of filing, the arbitration will be administered by Judicial Arbitration and Mediation Services (JAMS).

  • The arbitration will be conducted by a single arbitrator, who is either:

    • A retired judge or

    • A licensed attorney with experience in real estate law

  • The arbitrator will apply Massachusetts state law

  • Confidentiality: The entire arbitration process, including rulings, will remain strictly confidential

Venue: The arbitration will take place in Essex County, Massachusetts, unless another location is mutually agreed upon.

3. Costs & Fees

  • Nexus Real Estate Group LLC will cover arbitration fees for claims under $10,000, unless the arbitrator determines the claims are frivolous.

  • Each party bears its own legal fees, except where required by law.

  • If the arbitrator rules against you, Nexus may seek attorney’s fees only if the claim is found to be frivolous.

B. No Class Actions or Representative Claims

Class Action Waiver
You agree that any dispute must be resolved on an individual basis.

NO PRIVATE ATTORNEY GENERAL CLAIMS

You waive the right to act as a class representative or class member in any class action, mass arbitration, or collective proceeding.

If the class action waiver is deemed unenforceable, this entire arbitration section will be voided.

C. Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL.

Instead, all disputes must be arbitrated as described in Section A above.

D. Severability & Survival

  • If any part of this arbitration agreement is found to be invalid or unenforceable, the rest remains in full effect, except for the Class Action Waiver—if that is found unenforceable, then this entire arbitration agreement is void.

  • This arbitration agreement survives any termination of your account or use of the Services.

E. Right to Opt-Out

How to Opt Out
If you do not want to be bound by this arbitration agreement, you must:

  1. Send a written opt-out request within 30 days of first using our Services.

  2. Include:

    • Your full name

    • Your account username (if applicable)

    • A clear statement that you are opting out of arbitration

  3. Send the opt-out notice to:

If you opt out, you may pursue claims in court, but still waive your right to participate in a class action.

F. Governing Law & Legal Jurisdiction

  • This arbitration agreement is governed by the Federal Arbitration Act (FAA).

  • The arbitrator will apply Massachusetts law to any claims.

  • If a claim is not subject to arbitration, you agree that Essex County, Massachusetts courts will have exclusive jurisdiction.

G. Small Claims Court Exception

You or Nexus Real Estate Group LLC may file an individual lawsuit in small claims court instead of arbitration, provided that:

  • The claim qualifies under small claims court monetary limits.

  • The claim is not part of a class action.

H. Future Changes to Arbitration Clause

If we make any future changes to this arbitration clause, you may reject the change by:

  • Sending written notice to the Legal Department within 30 days of the change.

  • If you reject the change, you will continue to follow the original arbitration agreement.

By continuing to use the Services, you agree to this Arbitration Clause and Class Action Waiver.

17. Governing Law and Jurisdiction:

A. Governing Law

These Terms of Service shall be governed by and interpreted in accordance with the laws of the State of Massachusetts, United States of America, without regard to its conflict of law principles.

  • This means that Massachusetts state law will be the exclusive governing law for all disputes, claims, and legal matters arising from or related to these Terms.

  • Conflict of law rules that might apply the laws of another jurisdiction are expressly excluded to maintain consistency in legal interpretation.

  • The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply, ensuring that commercial contract laws governing international sales are not relevant to these Terms.

Why this matters: By choosing Massachusetts law, we ensure that all disputes and interpretations of these Terms are handled uniformly and predictably under one jurisdiction’s legal framework.

B. Jurisdiction and Venue

Where legal claims will be heard:

Without limiting the binding arbitration obligations outlined in Section 16, if any dispute must be brought to court (rather than arbitration), you agree to submit to the exclusive jurisdiction of the state and federal courts located in Suffolk County, Massachusetts.

What this means for you:

  1. You cannot file legal claims against us in any other location.

  2. You waive any right to object to these courts as an inconvenient forum.

  3. Massachusetts courts will have exclusive authority to resolve non-arbitrated disputes under these Terms.

Why this matters: This provision prevents forum shopping and ensures efficient dispute resolution by designating a single, predictable legal venue.

C. Statute of Limitations

One-Year Time Limit to File Legal Claims

YOU AGREE THAT ANY LEGAL CLAIM OR CAUSE OF ACTION ARISING FROM OR RELATING TO THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR FROM THE DATE THE CLAIM FIRST AROSE, OR ELSE IT IS PERMANENTLY BARRED.

  • If a dispute arises, you must take legal action within one year of when you first became aware (or should have reasonably become aware) of the issue.

  • If you fail to file a claim within this period, you permanently forfeit your right to bring that claim.

  • This overrides any longer statute of limitations that may otherwise apply under state or federal law.

Why this matters:
This ensures disputes are resolved promptly while evidence and witness testimony remain current and reliable. It also prevents prolonged legal uncertainty for both parties.

D. Exceptions and Acknowledgment

  • If a dispute falls under mandatory arbitration (Section 16), it must be resolved through arbitration rather than in a Massachusetts court.

  • By continuing to use our Services, you acknowledge and agree to these jurisdiction, venue, and time limitations.

18. Export Control:

A. Compliance with U.S. Export Laws and Regulations

By using the Services, you expressly represent and warrant that:

1. Embargoed and Restricted Countries

  • You, and any listing, transaction, or business activity associated with your account, are not located in or operating from any country that is subject to a U.S. Government embargo.

  • You do not conduct business with individuals, organizations, or entities in countries designated by the U.S. Government as "terrorist-supporting."

  • The Office of Foreign Assets Control (OFAC) regularly updates its list of embargoed countries, which currently includes but is not limited to:

    • Cuba

    • Iran

    • North Korea

    • Syria

    • Crimea region of Ukraine

  • If any additional countries are added to the embargo list, you must immediately cease all related transactions and ensure compliance.

2. Prohibited Parties

  • You are not listed on any U.S. Government lists of prohibited or restricted individuals or entities, including but not limited to:

    • The Specially Designated Nationals and Blocked Persons (SDN) List (maintained by the U.S. Treasury Department)

    • The Denied Persons List or Entity List (maintained by the U.S. Department of Commerce)

  • These restrictions apply to individuals, corporations, and organizations deemed threats to national security, economic stability, or foreign policy interests.

3. Prohibited Uses

You agree not to use the Services for any purpose prohibited under U.S. law, including, but not limited to:

  • The development, production, manufacture, or distribution of:

    • Nuclear weapons

    • Chemical or biological weapons

    • Missile or missile technology

  • Activities supporting the proliferation of weapons of mass destruction or delivery systems.

Your Responsibility: If you are uncertain about whether your activities comply with export control laws, you must seek independent legal guidance before using the Services.

B. Export and Re-export Restrictions

1. Authorized Use Only

  • You may not use, export, re-export, import, or transfer the Services or associated technology except as explicitly authorized by:

    • United States federal law

    • The laws of the jurisdiction where you access the Services

    • Any other applicable international laws or agreements

2. Prohibited Transactions with Embargoed Countries

  • The Services may not be exported, re-exported, or otherwise transferred to any country subject to U.S. embargo restrictions.

  • This includes direct or indirect transactions with individuals, businesses, or governments located in:

    • Cuba

    • Iran

    • North Korea

    • Syria

    • Crimea region of Ukraine

3. Prohibited Persons and Entities

  • The Services may not be exported or re-exported to:

    • Any individual or entity listed on U.S. Department of Commerce or Treasury restrictions lists, including but not limited to:

      • The Bureau of Industry and Security (BIS) Entity List

      • The Treasury Department’s Specially Designated Nationals (SDN) List

      • The Denied Persons List

Your Responsibility: Before engaging in any transaction, you must screen all counterparties to ensure compliance with applicable export regulations.

C. Specific Restrictions

1. Restrictions on Certain Technologies

  • You may not use the Services for the:

    • Research, development, or manufacturing of:

      • Missile technology

      • Nuclear technology

      • Chemical or biological weapons

    • Any activity that would support entities involved in the above industries.

2. Transfer, Use, and Access Restrictions

  • You must ensure that all transactions, transfers, or access to the Services are in full compliance with:

    • U.S. export control regulations

    • The laws of any applicable jurisdiction

  • Any unauthorized export, re-export, or transfer of Services or data is strictly prohibited.

3. Compliance Verification

  • You must actively verify that:

    • You are not engaging in prohibited transactions with embargoed countries, entities, or persons.

    • You are not facilitating access to the Services for any prohibited entity.

Your Responsibility: Failure to comply with these requirements may result in civil or criminal penalties.

D. Consequences of Non-Compliance

1. Legal Penalties

  • Violating U.S. export control or sanctions laws can result in severe civil and criminal penalties, including:

    • Fines of up to $1,000,000 per violation

    • Imprisonment for up to 20 years

    • Civil forfeitures and loss of business rights

2. Termination of Services

  • If we determine that your use of the Services violates any applicable export control or sanctions law, we reserve the right to:

    • Immediately terminate or suspend your account

    • Block or restrict access to the Services

    • Report violations to the appropriate U.S. Government authorities

3. Cooperation with U.S. Government Authorities

  • We may fully cooperate with U.S. government agencies responsible for enforcing export laws, including:

    • Providing access to records or transaction details

    • Reporting violations to the U.S. Treasury Department or Commerce Department

Your Responsibility: It is your obligation to ensure full compliance with all applicable export control laws. We take these restrictions seriously and will enforce them to the fullest extent allowed by law.

19. Mobile Application Terms:

A. General License for Mobile Applications

If the Services are offered as a mobile application ("Application"), you are granted a limited, non-exclusive, non-transferable, and non-sublicensable license to download, install, and use a single copy of the Application on a personal mobile device or computer that you own or control. This license is subject to your continued compliance with these Terms of Service.

Restrictions on Use:

  • You may not install or use the Application on any device that you do not own or control.

  • You may not distribute, sublicense, sell, or make the Application available over a network where it could be used by multiple devices simultaneously.

  • Any attempt to modify, reverse-engineer, decompile, or disassemble the Application is strictly prohibited.

  • The license does not grant you ownership rights over any aspect of the Application or Services.

Reservation of Rights: We reserve all rights, title, and interest in the Application that are not expressly granted under these Terms of Service.

B. Apple Applications

If you access or download the Application from the Apple App Store ("App Store Sourced Application"), the following additional terms apply:

Usage Rules:

  • The App Store Sourced Application must only be used on Apple-branded products running iOS and must comply with Apple’s Usage Rules outlined in the Apple Media Services Store Terms and Conditions.

Acknowledgment of Apple’s Role:

  • These Terms of Service are between you and us only, not with Apple.

  • Apple does not assume responsibility for the Application, its maintenance, or its content.

License Restrictions:

  • You may not sublicense, transfer, sell, or distribute the Application.

  • The Application must be used solely for personal, non-commercial purposes in accordance with these Terms of Service.

Apple’s Limited Warranty:

  • If the Application fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if applicable).

  • Beyond issuing a refund, Apple assumes no responsibility for defects, maintenance, support, or legal claims related to the Application.

Claims & Liability:

  • We, not Apple, are responsible for:

    • Addressing any claims you or a third party may have regarding the Application, including product liability claims and consumer protection violations.

    • Investigating and defending any intellectual property infringement claims made against the Application.

Legal Compliance:

  • You represent and warrant that you:

    • Are not in a country subject to a U.S. Government embargo or designated as a “terrorist-supporting” country.

    • Are not listed on any U.S. Government list of restricted or prohibited parties.

Third-Party Terms and Beneficiary Rights:

  • You must comply with all third-party terms of service applicable to the Application.

  • You acknowledge that Apple and its subsidiaries are third-party beneficiaries of these Terms of Service, and Apple has the right to enforce these terms.

C. Android Applications

If you access or download the Application from the Google Play Store ("Android Sourced Application"), the following additional terms apply:

Usage Rules:

  • The Android Sourced Application must be used on devices running Google’s Android operating system.

  • You must comply with the Google Play Store Terms of Service.

Acknowledgment of Google’s Role:

  • These Terms of Service are between you and us only, not with Google.

  • Google does not assume responsibility for the Application, its maintenance, or its content.

License Restrictions:

  • You may not sublicense, transfer, sell, or distribute the Application.

  • The Application must be used solely for personal, non-commercial purposes in accordance with these Terms of Service.

Google’s Limited Warranty:

  • If the Application fails to conform to any applicable warranty, you may notify Google for assistance.

  • Beyond this, Google assumes no responsibility for defects, maintenance, support, or legal claims related to the Application.

D. Other Third-Party Applications

If the Services are available through other third-party applications or marketplaces, you must comply with the terms set forth by the respective third-party platform, which may include but are not limited to:

  • Amazon Appstore

  • Samsung Galaxy Store

  • Huawei AppGallery

Your Responsibilities:

  • You must read and agree to the third-party terms before downloading or using the Application from any external platform.

  • We do not control third-party services, and any issues, maintenance, or support concerns should be addressed directly with the third-party provider.

E. Violation of Mobile Application Terms

If you fail to comply with these Mobile Application Terms, we reserve the right to:

  • Revoke your license to use the Application.

  • Home Inspectors & Appraisal Services

  • Contractors, Renovation Specialists, & Home Repair Services

  • Moving & Relocation Service Providers

However, Nexus Real Estate Group LLC does not guarantee, endorse, or assume responsibility for the services provided by these third-party entities. We strongly encourage users to conduct independent due diligence before engaging with any third-party service provider referred by Nexus Real Estate Group LLC.

B. Trusted Providers Program

No Compensation for Referrals: Agents are strictly prohibited from accepting or providing compensation, financial or otherwise, in exchange for recommending or referring a Trusted Provider.
