Member Agreement EU
This Nexus Member Agreement for the European Union (“Agreement”) constitutes a legally binding contract between you (“Member” or “Visitor”) and Nexus Real Estate Group, LLC (“Nexus,” “we,” “us,” or “our”), a Massachusetts-based real estate brokerage, community engagement platform, and provider of marketing and technology solutions. This Agreement governs your access to and use of Nexus’s websites, applications, products, services, features, and marketing initiatives (collectively, the “Services”) if your primary residence or business establishment is within the European Union (“EU”). Residents of the United Kingdom are subject to the Nexus UK Member Agreement, while individuals outside the EU/UK are governed by the Global Member Agreement. By accessing or using the Services—whether as a registered Member or unregistered Visitor—you acknowledge and agree to comply with this Agreement in its entirety. Failure to adhere to these terms obligates you to cease all use of the Services immediately.
Introduction to Services:
Nexus operates as a licensed real estate brokerage, community engagement platform, and technology provider, offering tools to facilitate property transactions, neighborhood collaboration, and business marketing. Our Services include, but are not limited to, property listings, buyer/seller representation, virtual tours, market analytics, community forums, event coordination, and promotional tools for businesses. Public-facing services or pages (“Public Services”) and third-party advertising solutions for non-members are excluded from this Agreement and governed by separate terms.
Definitions and Key Terms:
A “Member” refers to any individual or entity registered to use the Services, while a “Visitor” denotes unregistered users accessing limited features. A “Consumer” is a Member utilizing Services for personal, non-commercial purposes, whereas a “Business” includes Members engaged in trade, professional activities, or commercial ventures. By accessing the Services, you confirm your authority to bind yourself or your organization to this Agreement.
Eligibility and Account Registration:
The Services may only be accessed by individuals or entities legally capable of forming binding contracts under applicable law. Prohibited users include minors requiring parental consent for data processing, registered sex offenders, individuals barred by legal order, or entities restricted under international sanctions. Registration demands accurate and complete information, including valid contact details. Nexus reserves the right to reject or terminate Accounts containing false, incomplete, or misleading information. Members are restricted to one personal Account per household and one business Account per physical location.
Account Security and Responsibilities:
Members bear sole responsibility for maintaining the confidentiality of login credentials and for all activities conducted under their Accounts. Unauthorized access must be reported immediately to Nexus via legal@nexus.realestate. Nexus disclaims liability for losses arising from compromised credentials or unauthorized use, and reserves the right to suspend, restrict, or terminate Accounts for violations of this Agreement or applicable laws.
License Grants and Intellectual Property:
Subject to compliance with this Agreement, Nexus grants Members a limited, non-exclusive, non-transferable license to access and use the Services for their intended purposes. This license excludes ownership rights, and Nexus retains all intellectual property, including trademarks, logos, and proprietary technology. By submitting content—such as property listings, reviews, or community posts (“Member Content”)—you grant Nexus a perpetual, royalty-free, global license to host, modify, distribute, and display such content in connection with the Services. Feedback, suggestions, or ideas shared with Nexus become its exclusive property, usable for any purpose without compensation.
Community Guidelines and Prohibited Conduct:
Nexus fosters a respectful and lawful environment. All users must adhere to the Nexus Community Guidelines, which prohibit discrimination, harassment, hate speech, misinformation, or fraudulent activity. Prohibited conduct includes unauthorized data scraping, spam, automated access, impersonation, and misuse of Services for illegal purposes. Nexus reserves the right to remove content, suspend Accounts, or restrict privileges for violations, though we disclaim any obligation to monitor all user activity.
Real Estate and Transactional Disclaimers:
As a licensed brokerage, Nexus facilitates property transactions but does not guarantee the accuracy, legality, or condition of listings. Members assume full responsibility for verifying property details, compliance with local laws, and conducting due diligence. Nexus is not a party to transactions between Members and disclaims liability for disputes arising from interactions with agents, contractors, or third-party service providers.
Advertising and Sponsored Content:
Nexus funds free Services through advertising revenue. Members consent to viewing ads tailored to their interactions, preferences, or demographics, in compliance with data protection laws. Businesses may promote services via sponsored Content, and Members grant Nexus permission to display their name, profile, or interactions in connection with such promotions.
Indemnification and Liability:
Business Members agree to defend, indemnify, and hold harmless Nexus, its affiliates, and licensors from claims arising from breaches of this Agreement, misuse of Services, or violations of third-party rights. Consumers retain statutory rights under EU law, while Businesses waive claims to indirect, punitive, or consequential damages. Nexus’s aggregate liability is capped at €100 or fees paid in the preceding six months, whichever is greater.
Governing Law and Dispute Resolution:
This Agreement is governed by Massachusetts law, with deference to EU consumer protection regulations. Consumers may pursue claims in their local courts or via the EU Online Dispute Resolution Platform. Businesses agree to binding arbitration in Massachusetts under the American Arbitration Association (AAA) rules, waiving rights to jury trials or class actions.
Amendments and Termination:
Nexus reserves the right to modify this Agreement with notice via email or platform notifications. Continued use constitutes acceptance of revised terms. Members may terminate Accounts at any time, while Nexus may suspend or terminate access for violations or operational needs. Surviving provisions include indemnification, liability limitations, and dispute resolution.
