Community Payments Terms

Age Requirements:

If you are under eighteen (18) years old—or under the age of majority in your state or country—you may only use the payments features available through the Nexus Products with the involvement of a parent or guardian. It is important that you review these Payments Terms together with your parent or guardian so that both of you understand your rights and responsibilities.

Overview:

We have organized these Payments Terms with section headers for your convenience; however, you should read the entire document carefully to fully understand the rights, obligations, and responsibilities that apply to you as well as those that apply to us. Capitalized terms that are not defined herein shall have the meanings assigned to them in our Terms of Service (“Terms”).

Business Representations:

By agreeing to these Payments Terms, if you are a business entity, you represent and warrant that (a) you are duly authorized to conduct business in the country or countries where you operate; (b) any employees, officers, or representatives accessing payment services through the Nexus Products are properly authorized and can legally bind your company to these Payments Terms and all transactions conducted under your credentials; and (c) your use of the Nexus Products is solely or primarily for business or commercial purposes rather than for personal, family, or household use.

Communication Regarding Payments:

When you make a payment or store a payment instrument through the Nexus Products, you agree that we may communicate electronically with you about any important information regarding your transactions or account. Protecting the privacy of your financial data is important to us, so please review our Privacy Policies to learn how we manage and secure your information.

1. Making Payments:

Payment Transactions:

When you make a payment or store a payment instrument using the Nexus Products, you agree to be bound by these Payments Terms and to provide a valid payment method. Once you successfully add a payment instrument to your account (as described in Section 2 below), you may initiate payment transactions using our payment features. For clarity, a payment instrument includes any credit card, debit card, bank account information, or other payment methods that allow electronic funds transfers, debits, or credits as permitted by Nexus from time to time.

Pricing and Transaction Details:

Before confirming a transaction, please review the pricing details carefully, as your total may include taxes, fees, and shipping costs, which you are responsible for paying. It is also your duty to provide accurate information about yourself or your business for tax and compliance purposes. We may obtain additional data from third parties to support these requirements.

Additional Terms:

You might be presented with extra terms before you finalize a transaction—such as specific shipping conditions for tangible goods. By proceeding, you agree that these additional terms will govern the transaction alongside these Payments Terms.

Foreign Exchange:

If your transaction involves a currency conversion, we will apply the most recent foreign exchange rates provided by one or more external vendors. Although we strive to update our system daily with current rates, there may be delays or failures in the process. In such cases, the exchange rates used will be those from the most recent successful update, typically from the previous day.

Recurring Payment Transactions and Subscriptions:

If you purchase a recurring subscription from us, you authorize us to bill your payment instrument immediately upon initiating the subscription and then at the beginning of each subscription period according to the applicable terms, until you cancel. Cancellation will only affect subsequent billing periods. For instance, if a free trial is offered, you will be billed automatically at the end of the trial period unless you cancel before it ends. To avoid future charges, you must cancel at least 24 hours before your next scheduled payment. Please note that if you cancel a subscription, you will still have access to the associated app or feature until the end of the current billing period, and no refund will be issued for the current period—except as provided in any applicable subscription terms or in the event of a defect. If subscription prices increase, we will notify you at least 10 days in advance; if notice is given within less than 10 days, the new price will apply to the subsequent payment cycle. Subscriptions purchased from a third party through any Nexus Product are subject to the third party’s terms.

Person-to-Person Transfers (P2P):

P2P transfers may be available at our sole discretion. If you use P2P features—such as those available in the Messenger service—you must be at least eighteen (18) years old. Additional information may be required to complete these transactions. P2P services are intended solely for personal use and not for business, commercial, or merchant transactions; if such use is detected, we may discontinue the feature without notice. Should you receive and accept a P2P transfer, you will be responsible for any resulting fees or reversals, and we reserve the right to recover any losses through legal means.

Payments to Developers and Donations:

When using Nexus as a limited payment collection agent for developers offering content, your full payment constitutes satisfaction of your payment obligations to that developer. For payments to developers in regions such as the European Economic Area, you must use the account provided to purchase digital content, acknowledging that this is not a regulated payment service and may not offer the same consumer protections as regulated services. Donations made through Nexus Products will be processed in accordance with the designated donation terms and any applicable third-party policies, and you acknowledge that donations are considered charitable contributions for tax purposes.

2. Payment Methods:

Payment Instrument Management:

For your convenience, you may fund your transactions using various payment instruments, such as credit cards, debit cards, and gift cards. You can add, update, or remove payment instruments through your account settings. Refunds, when issued, will generally be credited to the original payment instrument. If that instrument is no longer available, we reserve the right to credit your refund using an alternative method. It is your responsibility to ensure your stored payment information remains current. Should we participate in a card account updater service, you authorize us to contact your card issuer to obtain updated information and automatically update your stored details.

Authorization and Preauthorization Holds:

By funding a transaction or providing a payment instrument, you confirm that you are authorized to use that method. You also authorize us and our designated payment processor to charge your payment instrument for the full transaction amount. For credit or debit card transactions, a preauthorization hold may be placed on your card for an amount up to the full price of your payment. This hold will appear as a temporary charge until the payment is finalized or canceled.

Failed Payments and Additional Payment Options:

If a transaction results in overdraft fees or other charges due to insufficient funds or exceeding your credit limit, you are solely responsible for those fees. Nexus also offers alternative payment methods, including mobile billing and, where applicable, local options like boleto for pre-paid transactions. Each alternative payment method is subject to its own set of terms and conditions, and you agree to abide by them.

Gift Card Balances:

Gift cards may be used to establish a gift card balance that can be applied to purchases on our platform. Once you redeem a gift card, its value is transferred to your gift card balance and cannot be restored to the original gift card. Gift card balances may only be used for transactions within our platform, and if the balance is insufficient, you will be prompted to provide an additional payment method. Gift card balances are not considered deposits, do not earn interest, and are not insured.

3. Actions We May Take:

At-Will Use and Transaction Cancellation:

We reserve the right to revoke your eligibility to make payments through the Nexus Products at any time and for any reason, in our sole discretion. If we suspect that a transaction violates these Payments Terms or our broader Terms, we may cancel that transaction, reverse any gift card or advertiser balances accrued, or otherwise limit your use of payment features.

Inquiries and Payment Limitations:

To help prevent financial loss, we may inquire about your identity and creditworthiness, and we reserve the right to delay, limit, or even deactivate your ability to make a payment if necessary. We may also share information with your payment instrument issuer or law enforcement if we believe it is necessary to prevent loss or address legal violations.

Abandoned Property:

If a gift card or advertiser balance remains unused for the legally specified period, or if you delete or have your account deactivated without breaching our policies, we may process your remaining balance in accordance with applicable law, including submitting funds to the appropriate governing body.

Foreign Exchange:

For transactions that require currency conversion, we will use exchange rates provided by external vendors. While we strive to update our system daily with current rates, delays or failures may result in using the most recently available rates.

4. Disputes and Reversals:

Customer Assistance:

We provide tools in our Support Center to help you communicate with third parties to resolve any disputes arising from a payment transaction. However, if you enter into a transaction with a third party and a dispute arises regarding the goods, services, or donation involved, we are not liable for those underlying issues. Our responsibility is solely to handle the payment transaction, and all payments are final unless required otherwise by law.

Fraud Warning and Duty to Notify:

If you suspect any unauthorized or problematic transaction, you must notify us immediately to prevent further financial loss. Claims must be submitted within 30 days of the charge, or you will waive your rights to any related claims. We reserve the right to intervene in disputes, but we are not obligated to resolve every issue that arises.

Technical Difficulties:

In the event of a technical failure that prevents your payment from processing, you may request that the transaction be completed at a later time.

5. Notices and Amendments:

Notice to You:

By using the payments features through the Nexus Products, you agree that we may send you important information electronically about your payments or account. Notices may also be posted on our website, delivered as in-app notifications, or sent via email or postal mail. Notices sent electronically are deemed received within 24 hours, and those by postal mail within three business days.

Notice to Us:

Unless stated otherwise, you must send any notices regarding payments or these Payments Terms by postal mail to: Nexus, Attn: Legal Department, 205 River St, Haverhill, Massachusetts, 01832.

Amendment Guidelines:

We reserve the right to update these Payments Terms at any time without prior notice, to the full extent permitted by law. The version in effect at the time you confirm a transaction will govern that transaction.

6. State Notices – Customer Complaints and Fraud Notices:

For example, Alaska residents should file formal complaints with the State of Alaska, Division of Banking and Securities, while residents of other states have corresponding procedures as detailed. Please refer to the applicable section for your state for complete instructions on how to file a complaint or report suspected fraud. This information includes contact details such as telephone numbers, mailing addresses, and links to online complaint forms for states including Alaska, Arkansas, California, Colorado, Florida, Illinois, Maryland, Minnesota, New York, South Dakota, and Texas.)

7. Additional Terms:

Terms of Service and Conflict of Terms:

Our Terms of Service (“Terms”) apply to your use of the payments features through the Nexus Products. In the event of any conflict between these Payments Terms and the Terms, the Payments Terms shall prevail. You may also be subject to additional third-party terms, such as those from Apple or Google, for purchases made through their services.

Conflict of Laws:

Certain jurisdictions may restrict or prohibit your ability to make payments using the Nexus Products. Nothing in these Payments Terms is intended to override or circumvent any such laws.

Courtesy Translations:

These Payments Terms are written in English (US). If there is any discrepancy between a translated version and the English version, the English version will control.

Trade Sanctions:

You must not use the payments features in connection with activities, individuals, or entities located in a country or region embargoed by the United States or that would violate applicable U.S. or international trade sanctions.

“Us” and Designated Entities:

For the purposes of these Payments Terms, “us,” “we,” and “our” refer to the entity operating the Nexus Products. In cases where you initiate a payment (other than a Nexus-Processed Payment) through the Nexus Products, these Payments Terms will govern your transaction. Depending on your location, the governing entity may differ. For example, if you are a resident of or have your principal place of business in Massachusetts, these Payments Terms are between you and Nexus, a Massachusetts corporation. Please review our Privacy Policy and any applicable licensing information on our website for further details.

Storing a Payment Instrument:

If you store a payment instrument with us through the Nexus Products, the responsibility for maintaining that information falls to the appropriate entity based on your location. For residents or businesses in Massachusetts and similar regions, Nexus Privacy Policy applies.

Nexus-Processed Payments:

The term “Nexus-Processed Payments” refers to payment transactions initiated through the Nexus Products and processed by our designated payment processor. This includes person-to-person transfers in the United States, certain charitable donations, and payments to developers for digital goods on our platform.
