We do not provide property management advice or engage in licensed property management activities outside these states. Please be aware that these terms are subject to change.

One of our missions of Nexus Real Estate Group LLC is to serve as a software platform that enables property owners to efficiently manage their leasing and property management activities. Our services aim to streamline processes and facilitate connections among property owners, licensed professionals, maintenance coordinators, and tenants through our innovative website.

When you use Nexus Real Estate Group LLC’s services, you are entering into a legal agreement with us. By registering on our platform or using our services, you agree to comply with all the terms outlined in this agreement, as well as our Privacy Policy, which explains how we collect, use, share, and store your personal information.

You agree that by registering on Nexus Real Estate Group LLC or by using our websites, content, or any information provided as part of the Nexus Real Estate Group LLC services (collectively referred to as "Nexus Real Estate Group LLC" or the "Services"), you are entering into a legally binding agreement with Nexus Real Estate Group LLC, located at 205 River St, 2nd Floor, Haverhill, MA 01832 (“we,” “us,” “our,” and “Nexus Real Estate Group LLC”). This agreement consists of the Nexus Real Estate Group LLC Terms of Use Agreement and the Nexus Real Estate Group LLC Privacy Policy, which is hereby incorporated by reference (collectively referred to as the “Agreement”).

Whether you are a registered user on Nexus Real Estate Group LLC.com (“User”) or an unregistered user (“Visitor”), you are bound by this Agreement. If you are using Nexus Real Estate Group LLC on behalf of a company or other legal entity, you are individually bound by this Agreement even if your company has a separate agreement with us. If you do not agree with this Agreement, do not click “Sign Up,” “Register,” or “Save,” and do not access, view, download, or otherwise use any Nexus Real Estate Group LLC webpage, content, information, or services. By clicking “Sign Up” or a similar option, or by using any of our Services, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions of this Agreement.

As a user of the Nexus Real Estate Group LLC platform, you have several important obligations to ensure a safe, fair, and compliant experience for all users. By using our Services, you agree to adhere to the following responsibilities stated in all the terms and conditions.

You must comply with all applicable laws and this Agreement, as may be amended from time to time with or without advance notice, and the policies and processes explained in the following sections and related web pages:

1. Nexus Real Estate Group LLC’s False Account & Listing Policy: This policy outlines the requirements for creating and maintaining accurate and authentic accounts and listings on our platform to ensure the integrity and reliability of the information provided by users.

2. Nexus Real Estate Group LLC’s Privacy Policy: This policy details how we collect, use, share, and store your personal information, ensuring your privacy is protected and your data is handled responsibly. The Privacy Policy is available at https://nexus.realestate/privacy-policy.

3. Nexus Real Estate Group LLC’s Terms and Conditions: These terms govern your use of our Services, outlining your rights and obligations as a user. They are essential for maintaining a fair and safe environment for all users.

4. Nexus Real Estate Group LLC’s Copyright Policy: This policy explains our commitment to respecting intellectual property rights and provides procedures for reporting and addressing copyright infringement on our platform.

5. Fair Housing Act ("FHA"): This federal law prohibits discrimination in housing-related transactions based on race, color, religion, sex, handicap, familial status, or national origin. Compliance with the FHA is mandatory for all users engaging in housing activities on our platform.

6. Fair Credit Reporting Act ("FCRA"): This federal law promotes the accuracy, fairness, and privacy of information in the files of consumer reporting agencies. Compliance with the FCRA is required for all users who access or use consumer reports in connection with our Services.

You still own the content and information you provide, but you grant us a broad license to use it.

As between you and Nexus Real Estate Group LLC, you retain ownership of the content and information you provide under this Agreement. You may request its deletion at any time, unless it has been shared with others who have not deleted it, or it has been copied or stored by other users. Additionally, by providing content or information to Nexus Real Estate Group LLC, you grant us a nonexclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sublicensable, fully paid-up, and royalty-free right to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, use, and commercialize, in any way now known or in the future discovered, any information you provide, directly or indirectly, without any further consent, notice, and/or compensation to you or to any third parties.

Respecting Your Privacy and Choices

We will respect the choices you make about who gets to see your information and content. Pursuant to this license, Nexus Real Estate Group LLC may grant other users and/or visitors access and share rights to your content and information in accordance with this Agreement, your settings, and degree of connection with them.

Your Promises

1. Right to Submit: You promise to only provide us with information and content that you have the right to give us. This includes ensuring that any User Content you submit is not confidential and does not violate any law, contractual restrictions, or third-party rights (including intellectual property rights).

2. Truthfulness: You promise that your Nexus Real Estate Group LLC profile will be truthful, accurate, and up-to-date.

Risk of Submission

Any content or information you submit to us is at your own risk of loss. By providing content or information to us, you represent and warrant that you are entitled to submit it and that it is not confidential and not in violation of any law, contractual restrictions, or other third-party rights. It is your responsibility to keep your Nexus Real Estate Group LLC profile information accurate and updated.

To use the Services provided by Nexus Real Estate Group LLC, you must meet specific eligibility criteria and make certain representations and warranties. By agreeing to these terms, you confirm that you meet the following conditions:

1. Minimum Age: You are at least the "Minimum Age" of 18 years. If applicable law requires you to be older than 18 for Nexus Real Estate Group LLC to lawfully provide the Services to you (including the collection, storage, and use of your information in accordance with our Privacy Policy), then the Minimum Age is the legally required older age.

2. No Service Restrictions: You are not currently restricted from using the Services and are not otherwise prohibited from having a Nexus Real Estate Group LLC account.

3. No Competition: You are not a competitor of Nexus Real Estate Group LLC and are not using the Services for purposes that are in competition with Nexus Real Estate Group LLC.

4. Single Account: You agree to maintain only one Nexus Real Estate Group LLC account at any given time.

5. Accurate Information: You will use your real name and only provide accurate, truthful, and up-to-date information to Nexus Real Estate Group LLC.

6. Authority to Enter Agreement: You have full power and authority to enter into this Agreement, and doing so will not violate any other agreement to which you are a party.

7. No Rights Violation: You will not violate any rights of Nexus Real Estate Group LLC or any third party, including but not limited to rights under the Fair Housing Act (FHA), the Fair Credit Reporting Act (FCRA), and intellectual property rights such as copyrights or trademarks.

8. Necessary Equipment: You agree to provide, at your own cost, all necessary equipment, software, mobile access, and internet access required to use the Services.

By agreeing to these terms, you affirm that you have read and understood the eligibility requirements and confirm that you meet all the criteria listed above. If you do not meet these eligibility requirements, you should not use the Services provided by Nexus Real Estate Group LLC.

Your Nexus Real Estate Group LLC account is a valuable asset that you must protect. By creating and using your account, you agree to the following responsibilities and obligations:

1. Password Security: You will keep your password secure and confidential. It is your responsibility to ensure that your password is not shared with anyone else and is not easily accessible to others.

2. No Sharing of Accounts: You will not share your account with anyone else. Your Nexus Real Estate Group LLC account is personal to you, and you are solely responsible for all activities that occur under your account, without exception.

3. No Unauthorized Access: You will not use anyone else’s account and will not allow anyone else to use your account.

4. No Transfer of Account: You will not sell, trade, or transfer your Nexus Real Estate Group LLC account to another party. Additionally, you will not charge anyone for access to any portion of Nexus Real Estate Group LLC or any information contained therein.

5. Ownership and Use of Content: The profile you create on Nexus Real Estate Group LLC will become part of Nexus Real Estate Group LLC and, except for the content and information that you license to us, is owned by Nexus Real Estate Group LLC. However, your account belongs to you, and you have control over its use, subject to the terms of this Agreement.

6. Responsibility for Account Activity: You are fully responsible for all actions taken through your account. If any unauthorized activity occurs on your account, it is your responsibility to take immediate action, such as changing your password or notifying us of the issue.

7. Account Closure: If you wish to close your Nexus Real Estate Group LLC account, please email us at Nexus@marketingwithnexus.com with the subject line "Close Account."

By agreeing to these terms, you acknowledge that you have read and understood your obligations regarding your Nexus Real Estate Group LLC account and that you will take all necessary steps to protect your account from unauthorized access and use.

You are responsible for any losses or damages that you cause, and you agree to indemnify and hold us harmless for such losses.

By using the Services, you agree to indemnify, defend, and hold harmless Nexus Real Estate Group LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, liabilities, and expenses (including, but not limited to, reasonable attorneys’ fees and court costs) arising out of or related to:

1. Failure to Comply: Your failure to comply with this Agreement, including but not limited to, your submission of content that violates third-party rights or applicable laws.

2. Content Submission: Any content you submit to the Services, including but not limited to, any claims that the content infringes the intellectual property rights, privacy rights, or other rights of a third party.

3. Your Activities: Any activity you engage in on or through Nexus Real Estate Group LLC, including but not limited to, any interactions with other users or third parties.

This indemnification obligation will survive the termination of this Agreement and your use of the Services. You agree that you will be responsible for any costs, including legal fees, that we incur as a result of your actions, and you will promptly reimburse us for any such costs upon our request.

By agreeing to these terms, you acknowledge that you have read and understood your indemnification obligations and agree to take responsibility for any damages or losses that you cause through your use of the Services.

By using Nexus Real Estate Group LLC’s Services, you agree to fulfill your payment obligations as outlined below:

Payment Process

1. Payment Obligations: You agree to honor your payment obligations through Nexus Real Estate Group LLC’s portal, coordinated through the maintenance coordinators. Payments are executed online using Stripe. By using our Payments feature, you agree to be bound by the Stripe Connected Account Agreement, which may be updated from time to time. https://stripe.com/connect/account-terms

2. Failed Payments: If any payment you initiate using the Service does not successfully complete, the payee reserves the right to seek payment from you via the Service or through other means. Any authorization you provide for automatic payments using the Service will remain in effect until you cancel it.

3. Purchases and Subscriptions: If you purchase Services that require a fee, whether on a one-time or subscription basis, you agree to Nexus Real Estate Group LLC using your payment information for the transaction. Failure to pay may result in the termination of your subscription. Depending on your location, payment method, and where your payment method was issued, your transaction may be subject to foreign exchange fees or price differences due to exchange rates.

4. Payment Method Continuity: If your payment method, such as a credit card, expires and you do not update your payment information or cancel your account, you authorize us to continue billing that payment method. You remain responsible for any uncollected amounts.

Fees and Taxes

1. Subscription Fees: Your obligation to pay fees continues through the end of the subscription period during which you cancel your subscription.

2. Additional Fees and Taxes: There may be additional fees and taxes added to our prices. All applicable taxes are calculated based on the billing information you provide at the time of purchase.

3. Refund Policy: We do not guarantee refunds. For more information on Nexus Real Estate Group LLC’s refund policy, please email Nexus@marketingwithnexus.com. We do not offer refunds for lack of usage or dissatisfaction. If you cancel your account, you can continue to use the Services until the end of your billing period.

4. Invoice Requests: If you require a printed invoice for your transaction, you may request one by contacting Nexus@marketingwithnexus.com.

Payment Interactions with Other Users

1. User Payments: By interacting with other users on our platform, you agree to pay the amount associated with the bill. Nexus Real Estate Group LLC reserves the right to suspend payments to you until any negative balances are resolved. A negative balance occurs when you have past-due payments to other users on the platform or coordinated through the maintenance coordinators.

2. Payment Information and Security: By providing us with your banking or other payment information, you authorize us to use it and disclose it to Stripe or other payment gateway providers to process the payments you authorize on the Service. Payment gateway providers may aggregate your information for other purposes, but only in ways that do not identify you personally or disclose any personal information about you. They may also disclose your personal information when necessary to comply with the law.

Disputes and Reversals

1. No Custody of Funds: We never take custody of money you transfer to other users using the Service, and we’re not responsible for what recipients do with the payments you make (e.g., we’re not responsible for your property owner returning your deposit).

2. Reversals and Chargebacks: If a payor or payor’s bank initiates a reversal, chargeback, or dispute of a payment made to you, you authorize us and our third-party payment providers to reverse or otherwise debit funds from your account in accordance with applicable financial institution and network policies and procedures. We may also initiate a reversal or other debit or take other actions we determine to be appropriate if we believe fraud or other abuse of the Service has occurred.

Processing Fees

1. Credit/Debit Card Payments: If you accept debit/credit cards as a form of payment, a processing fee of 3% will be deducted from the amount paid to you.

By agreeing to these payment terms, you acknowledge that you understand your obligations and responsibilities when making and receiving payments through Nexus Real Estate Group LLC. If you have any questions or require further clarification, please contact Nexus@marketingwithnexus.com.

If you believe you need to breach this Agreement due to a mandatory law, you must inform us in advance.

If you believe that you are entitled or obligated to act in a way that is contrary to the terms of this Agreement under any mandatory law, you agree to notify us in writing with a detailed and substantiated explanation of your reasons at least 30 days before you take any such action. This advance notice allows us to evaluate the situation and determine whether we may, at our sole discretion, offer an alternative remedy or solution. However, please note that we are under no obligation to provide such an alternative remedy.

By agreeing to this section, you acknowledge that any decision to act contrary to the terms of this Agreement should be communicated to us well in advance, allowing us the opportunity to address the issue. Failure to notify us as required may result in the enforcement of the terms of this Agreement against you.

You agree to receive important communications from us, and it's your responsibility to ensure your contact information is accurate.

Communication Methods

1. Notifications on Services: Nexus Real Estate Group LLC may provide you with important notices regarding the Services by placing a banner notice across its pages, which will alert you to changes such as modifications to this Agreement. Alternatively, notice may be provided via an email sent to the address associated with your account, even if we have other contact information for you.

2. Direct Communication: You also agree that Nexus Real Estate Group LLC may communicate with you through various channels, including your Nexus Real Estate Group LLC account, email, mobile number, telephone, or delivery services (including the postal service), regarding your account or Services associated with Nexus Real Estate Group LLC.

3. Notification Settings: It is your responsibility to review and update your Nexus Real Estate Group LLC settings to control and limit the types of messages you receive from us. We will not be liable for any issues arising from your failure to maintain accurate contact information, including but not limited to, your failure to receive critical information about the Services.

Consent to Communications

1. Acceptance of Communications: By using our Services, you agree to receive communications from Nexus Real Estate Group LLC via SMS, text message, email, telephone, and/or the Nexus Real Estate Group LLC mobile application. You agree that these communications do not violate the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), any implementing regulations of the TCPA or TSR, or any similar state laws or regulations.

2. Communication Timing: You consent to Nexus Real Estate Group LLC contacting you by phone or text message on any day (including weekends and holidays) and at any time at the phone number(s) you have directly or indirectly provided to Nexus Real Estate Group LLC. This includes the use of an autodialer or a prerecorded or artificial voice to deliver a message, in connection with your use of our Services, or for other purposes, including telemarketing.

By agreeing to these terms, you acknowledge that you understand and accept the methods and timing of communications from Nexus Real Estate Group LLC, and you agree to keep your contact information accurate and up-to-date. Failure to do so may result in missed critical notifications or communications, for which we are not responsible.

This Agreement also applies to any mobile applications provided by Nexus Real Estate Group LLC, and by using these applications, you agree that certain additional information may be shared with us.

Use of Nexus Real Estate Group LLC Applications

1. Scope of Application: Nexus Real Estate Group LLC may offer Services through applications built using its platform ("Nexus Real Estate Group LLC Applications"). Examples include smartphone applications for Android and iOS (coming soon). These applications are distinct from third-party Platform Applications, which are addressed separately in Section 4.2 of this Agreement.

2. Information Sharing: If you use a Nexus Real Estate Group LLC Application or interact with a website that has deployed a Nexus Real Estate Group LLC plugin, you agree that information about you and your use of the Services may be communicated to us. This information may include, but is not limited to:

   • Your device type and model

   • Your mobile carrier

   • Your internet access provider

   • Your physical location

   • Web pages containing Nexus Real Estate Group LLC plugins that load in your browser

3. Data Importation: By importing any of your Nexus Real Estate Group LLC data through a Nexus Real Estate Group LLC Application, you represent that you have the authority to share this data with your mobile carrier or other access provider.

4. Mobile Account Management: If you change or deactivate your mobile account, you must promptly update your Nexus Real Estate Group LLC account information to prevent your messages from being sent to the person who acquires your old number. Failure to update your account information is your responsibility.

5. Responsibility for Charges and Permissions: You are responsible for all charges and necessary permissions related to accessing Nexus Real Estate Group LLC through your mobile access provider. It is advisable to check with your provider to determine if the Services are available on your specific mobile devices and to understand the terms of service for these mobile applications.

6. Acceptance of Application Terms: By using any downloadable application to enable your use of the Services, you explicitly confirm your acceptance of the terms of the Agreement associated with the application, whether provided at the time of download, installation, or as may be updated from time to time.

By agreeing to these terms, you acknowledge that you have read and understood the conditions related to the use of Nexus Real Estate Group LLC Applications and agree to be bound by them. This includes the sharing of certain information and the responsibilities associated with mobile device usage.

When you share information on Nexus Real Estate Group LLC, be aware that others can see, copy, and use that information.

Property Listings and Information Sharing

1. Listings and Syndication: Nexus Real Estate Group LLC provides various platforms, such as Nexus Real Estate Group LLC Marketing, where you can post rental properties and other real estate-related content. By using Nexus Real Estate Group LLC Marketing Syndication, you agree to allow Nexus Real Estate Group LLC to share your listings with Third Party websites, including but not limited to, other real estate platforms. This syndication increases the visibility of your listings but also means that your content will be accessible on multiple platforms beyond Nexus Real Estate Group LLC.

2. Public Posting and Content Sharing: Nexus Real Estate Group LLC allows users to share information and resources by posting them to their public profiles and other Services. This includes introductions to real estate agents, landlords, and other relevant content. Keep in mind that when you post ideas or information on Nexus Real Estate Group LLC, other Users, and potentially Visitors, may see, copy, and use that information.

Considerations Before Sharing

1. Confidentiality and Third-Party Rights: If you have ideas or information that you want to keep confidential, or if the information is subject to third-party rights that could be infringed by sharing it, you should not post it on Nexus Real Estate Group LLC. Once shared, Nexus Real Estate Group LLC cannot guarantee that other Users will respect the confidentiality or intended use of the information.

2. Responsibility for Shared Content: Nexus Real Estate Group LLC is not responsible for any misuse or misappropriation of content or information that you post. Once information is shared, it is beyond our control how others might use or interpret it.

By agreeing to these terms, you acknowledge that you understand the risks and responsibilities associated with sharing information on Nexus Real Estate Group LLC. You agree to take appropriate measures to protect any content or information that you do not wish to be publicly accessible or used by others.

By using Nexus Real Estate Group LLC, you consent to our collection, use, storage, and disclosure of your information as outlined in our Privacy Policy.

Consent to Data Collection and Use

1. Acceptance of Privacy Policy: Before using Nexus Real Estate Group LLC, you should carefully read our full Privacy Policy, which is hereby incorporated into this Agreement by reference. The Privacy Policy governs our treatment of any information, including personally identifiable information, that you submit to us. By using our Services, you agree to the terms outlined in the Privacy Policy.

2. Types of Information: Be aware that certain information, statements, data, and content (such as photographs) that you submit to Nexus Real Estate Group LLC, or the groups you choose to join, may reveal personal information about you. This could include your gender, ethnic origin, nationality, age, and other personal details.

3. Voluntary Submission: You acknowledge that your submission of any information, statements, data, and content to us is voluntary on your part. By providing this information, you agree that Nexus Real Estate Group LLC may process and use such information in accordance with the terms of the Privacy Policy.

4. Information Processing: Nexus Real Estate Group LLC may collect, use, store, and disclose your information as necessary to provide the Services, improve the user experience, and comply with legal obligations, all in accordance with the Privacy Policy.

By agreeing to these terms, you acknowledge that you have read, understood, and accepted the Privacy Policy. You agree to allow Nexus Real Estate Group LLC to handle your personal information in accordance with the Privacy Policy, and you understand that certain personal information you provide may be publicly accessible based on your activities on the platform.

When you provide feedback or suggestions to us, make sure it doesn’t include confidential or proprietary materials. You grant us rights to use your contributions.

By submitting suggestions, ideas, or other feedback regarding our Services ("Contributions") in any manner to Nexus Real Estate Group LLC, you acknowledge and agree to the following:

1. No Confidential Information: Your Contributions do not contain any confidential or proprietary information. You should ensure that any feedback or suggestions you provide do not include information that you or others consider confidential.

2. No Obligation of Confidentiality: Nexus Real Estate Group LLC is not under any obligation of confidentiality, whether express or implied, with respect to the Contributions you provide.

3. Right to Use or Disclose: Nexus Real Estate Group LLC has the right to use, disclose, or choose not to use or disclose such Contributions for any purpose, in any manner, and in any media worldwide. This means that once you provide feedback, we may use it freely without needing to notify you or compensate you.

4. Pre-Existing Consideration or Development: It is possible that Nexus Real Estate Group LLC already has something similar to the Contributions under consideration or in development. Your submission does not create any obligation for us to act on or implement your feedback.

5. License to Exploit Contributions: You irrevocably grant Nexus Real Estate Group LLC a non-exclusive, worldwide, perpetual, royalty-free, and sublicensable license to use, modify, distribute, and exploit your Contributions in any manner. This license allows us to use your ideas as we see fit without any further obligations to you.

6. No Compensation: You are not entitled to any compensation, reimbursement, or any form of payment from Nexus Real Estate Group LLC under any circumstances for your Contributions. This applies regardless of how we use your feedback or suggestions.

By agreeing to these terms, you acknowledge that you have read and understood the conditions under which you provide Contributions to Nexus Real Estate Group LLC. You agree to grant us broad rights to use your feedback without expecting any form of compensation or confidentiality.

If you adhere to this Agreement, we grant you a limited right to use Nexus Real Estate Group LLC. You must use Nexus Real Estate Group LLC in accordance with the terms and conditions outlined in this Agreement.

License to Use the Services

On the condition that you comply with all your obligations under this Agreement, including, but not limited to, the Do’s and Don’ts listed in Section 10, we grant you a limited, revocable, non-exclusive, non-assignable, and non-sublicensable license and right to access and use the Services. This access is provided through a generally available web browser, mobile device, or Nexus Real Estate Group LLC authorized application. You agree to use the Services only as intended and permitted by the functionality of the platform, the settings of the Users, and your degree of connection with them, in accordance with this Agreement.

Permitted Access

You may access the Services to view content and information and otherwise use the Services to the extent that is intended and permitted by Nexus Real Estate Group LLC. However, you must not:

1. Use Unauthorized Technologies: Access the Services through scraping, spidering, crawling, or other technology or software used to access data without the express written consent of Nexus Real Estate Group LLC or its Users.

2. Use for Unauthorized Purposes: Use the Services in a manner contrary to our mission and purpose. This includes, but is not limited to, attempting to connect with someone you do not know or trust, or using information gathered from Nexus Real Estate Group LLC for commercial purposes unless expressly authorized by Nexus Real Estate Group LLC.

Reservation of Rights

We reserve all rights not expressly granted in this Agreement. This includes, without limitation, title, ownership, intellectual property rights, and all other rights and interests in Nexus Real Estate Group LLC and all related items, including any and all copies made of Nexus Real Estate Group LLC websites.

By agreeing to these terms, you acknowledge that your right to use Nexus Real Estate Group LLC is conditioned upon your compliance with this Agreement, and you agree to use the Services only in ways that align with our mission and purpose. Any misuse or unauthorized use of the Services may result in the termination of your access rights.

We may modify, discontinue, or suspend Services at any time, and we do not guarantee the continued availability of your content or information.

1. Service Continuity and Modifications: Nexus Real Estate Group LLC is committed to providing, updating, improving, and expanding the Services as long as we continue to offer them. However, we provide access to Nexus Real Estate Group LLC as it exists on any given day, and we are not obligated to maintain any particular version of the Services. We reserve the right to modify, replace, refuse access to, suspend, or discontinue Nexus Real Estate Group LLC, either partially or entirely, at our sole discretion. This may include changes to functionality, features, or pricing. Any changes will be effective upon posting on Nexus Real Estate Group LLC or through direct communication to you, unless otherwise specified.

Nexus Real Estate Group LLC reserves the right to withhold, remove, or discard any content associated with your account, with or without notice, if we determine that it is contrary to this Agreement. This means that content you upload may be removed at our discretion, and we are not obligated to store, maintain, or provide you with a copy of any content that you or other Users provide while using the Services.

3. Legal Compliance: In some cases, local laws may require Nexus Real Estate Group LLC to remove certain information or content, meaning that such information or content may not be available on our Services in certain countries. We will comply with such legal requirements as necessary.

By agreeing to these terms, you acknowledge that Nexus Real Estate Group LLC has the right to modify, discontinue, or suspend any aspect of the Services at any time, and that your access to content and information on the platform is subject to change without notice. You also understand that we are not obligated to keep or provide access to any content you share on the platform.

Your access to content and information from other Users and third parties through the Services is at your own risk.

1. Exposure to Third-Party Content: By using the Services, you may encounter content or information posted by other Users or third parties that may be inaccurate, incomplete, delayed, misleading, illegal, offensive, or otherwise harmful. Except in specific circumstances, such as where legally required, Nexus Real Estate Group LLC generally does not review, monitor, or filter such content. You acknowledge and agree that Nexus Real Estate Group LLC is not responsible for the content or information provided by other Users or third parties, nor for any damage or loss incurred as a result of your reliance on such content.

2. Third-Party Products and Services: Third parties may offer their own products and services through Nexus Real Estate Group LLC. For example, when advertising your property on Nexus, your rental vacancy may be posted to third-party rental listing websites. By using such features, you agree to be bound by Nexus Real Estate Group LLC's Terms of Use and any other applicable terms. Nexus Real Estate Group LLC is not responsible for the activities, products, or services offered by third parties through the platform.

3. Links to Third-Party Sites: Nexus Real Estate Group LLC may include links to third-party websites (“Third Party Sites”) within our Services. Before using a Third Party Site or sharing any information with it, you should review the applicable terms of use and privacy policy of that site, as you may be giving the third party permission to use your information in ways that differ from how we use it. Nexus Real Estate Group LLC does not endorse and is not responsible for any features, content, advertising, products, or other materials available on or from Third Party Sites. If you decide to access or use Third Party Sites, you do so at your own risk, and this Agreement does not apply to your interactions with those sites.

By agreeing to these terms, you acknowledge that your interaction with third-party content, products, and services is at your own risk, and you agree that Nexus Real Estate Group LLC is not liable for any issues that arise from your use of or reliance on third-party content or services.

You agree that we can use, store, and share information about you in accordance with our Privacy Policy.

1. Access, Preservation, and Disclosure: By using the Services, you acknowledge, consent, and agree that Nexus Real Estate Group LLC may access, preserve, and disclose your registration information and any other information you provide, in accordance with the terms of our Privacy Policy. This may occur if required by law or if we believe in good faith that such access, preservation, or disclosure is reasonably necessary to:

   • Comply with Legal Processes: This includes, but is not limited to, complying with civil and criminal subpoenas, court orders, or other compulsory legal disclosures.

   • Enforce the Agreement: We may need to access and disclose your information to enforce the terms of this Agreement.

   • Respond to Claims: If there are claims of a violation of the rights of third parties, whether those third parties are Users, individuals, or government agencies, we may access and disclose relevant information.

   • Customer Service Inquiries: We may use your information to respond to customer service inquiries and provide assistance.

   • Protection of Rights: We may disclose your information to protect the rights, property, or personal safety of Nexus Real Estate Group LLC, our Users, or the public.

2. Third-Party Disclosures: Disclosures of User information to third parties, other than those required to provide customer support, administer this Agreement, or comply with legal requirements, are addressed in our Privacy Policy. You should review the Privacy Policy to understand how your information may be shared with third parties and under what circumstances.

By agreeing to these terms, you acknowledge that Nexus Real Estate Group LLC has the right to access, store, and disclose your information as described above, and that such actions may be necessary to comply with legal obligations, enforce this Agreement, and protect the rights and safety of our community.

We reserve the right to limit connections and interactions on the Services.

1. User Interactions: You are solely responsible for your interactions with other Users of the Services. While Nexus Real Estate Group LLC provides a platform for connections and interactions, it does not guarantee the quality, safety, or legality of those interactions.

2. Limitation of Connections: Nexus Real Estate Group LLC may limit the number of connections you can have with other Users. We may also prohibit you from contacting certain Users through the Services or impose other restrictions on your use of the Services. These limitations can be imposed at our sole discretion and may be based on various factors, including but not limited to, compliance with this Agreement, user behavior, or the protection of our community.

3. Monitoring and Account Actions: While Nexus Real Estate Group LLC reserves the right to monitor disputes between Users, we are under no obligation to do so. However, if Nexus Real Estate Group LLC determines, in its sole discretion, that your interactions with other Users violate this Agreement or are otherwise harmful to the community, we may restrict, suspend, or close your account. This action is intended to enforce the terms of this Agreement and maintain a safe and respectful environment for all Users.

By agreeing to these terms, you acknowledge that Nexus Real Estate Group LLC has the authority to limit your connections and interactions with other Users and to take appropriate action if necessary to uphold the standards of the community and this Agreement.

We are providing you with notice of our intellectual property rights.

1. Ownership of Intellectual Property: The Services provided by Nexus Real Estate Group LLC include copyrighted materials and other intellectual property rights that belong to Nexus Real Estate Group LLC. Except for the limited license granted to you under Section 3 of this Agreement, Nexus Real Estate Group LLC reserves all intellectual property rights in the Services. This means that you do not acquire any ownership or other rights to the intellectual property associated with Nexus Real Estate Group LLC by using the Services.

2. Trademarks and Logos: Nexus Real Estate Group LLC, the Nexus Real Estate Group LLC (stylized) logo, and the “T” logos, along with other trademarks, service marks, graphics, and logos used in connection with Nexus Real Estate Group LLC, are trademarks or registered trademarks of Nexus Real Estate Group LLC or its affiliates in the U.S. and/or other countries.

3. Rights of Third-Party Trademarks: Other trademarks and logos that appear in connection with the Services may be the property of their respective owners. Your use of the Services does not grant you any right or license to use any of these trademarks or logos, whether owned by Nexus Real Estate Group LLC or by third parties.

By agreeing to these terms, you acknowledge that Nexus Real Estate Group LLC retains all rights to its intellectual property and that this Agreement does not grant you any right to use Nexus Real Estate Group LLC’s trademarks, logos, or other intellectual property, except as expressly provided for under this Agreement. Any unauthorized use of Nexus Real Estate Group LLC’s intellectual property is prohibited.

To the fullest extent permitted by applicable law, the Nexus Real Estate Group LLC Platform is provided on an "as is" basis without any warranties, either express or implied. This means:

1. No Warranty of Uninterrupted or Error-Free Service: Neither Nexus Real Estate Group LLC nor its affiliates or licensors warrant that the Nexus Real Estate Group LLC Platform will operate without interruptions, delays, or errors. You understand and agree that the Services may be subject to temporary interruptions due to various factors, including but not limited to technical issues or maintenance.

2. No Warranty on Content or Professional Accreditation: Nexus Real Estate Group LLC and its affiliates or licensors do not make any warranty regarding the content available on or through the Nexus Real Estate Group LLC Platform. This includes any representations regarding the registration, accreditation, or licensing of professionals listed or referenced on the Platform. Additionally, there is no warranty as to the accuracy, reliability, quality, suitability, safety, completeness, or timeliness of the services, professional services, content, information, or materials provided through the Platform.

3. No Guarantee of Results: Nexus Real Estate Group LLC does not guarantee any specific results from using the Platform. This includes, but is not limited to, the success of any professional services you may obtain, the accuracy of any credit information shared with third parties, or any decisions made by third parties based on such information. You agree that any credit information provided by Nexus Real Estate Group LLC may contain errors, and Nexus Real Estate Group LLC and its affiliates, licensors, and data providers are not responsible or liable for any actions taken by third parties based on that information.

4. No Responsibility for User Conduct: Nexus Real Estate Group LLC and its affiliates or licensors are not responsible for the conduct of any Users of the Platform, whether online or offline. This includes any interactions or transactions that may occur between Users.

5. No Warranty Against Harmful Components: Nexus Real Estate Group LLC and its affiliates or licensors do not warrant that the Platform is free from viruses, worms, Trojan horses, or other harmful components that could damage your computer, mobile device, or other property.

6. No Guarantee of Data Security: While Nexus Real Estate Group LLC strives to protect your personal information, it cannot and does not guarantee that any information you provide, personal or otherwise, will not be misappropriated, intercepted, deleted, destroyed, or used by others without your consent.

By using the Nexus Real Estate Group LLC Platform, you acknowledge and accept these risks and agree that your use of the Platform is entirely at your own risk. You also agree that Nexus Real Estate Group LLC is not liable for any damages or losses that may result from your use of the Platform or any content or services obtained through it.

The quality of professional services offered on the Nexus Real Estate Group LLC Platform is solely the responsibility of the individual professionals who provide these services as third-party providers. You acknowledge and understand that by using the Nexus Real Estate Group LLC Platform, you may be exposed to professional services that have not been screened or vetted by Nexus Real Estate Group LLC. As such, you agree to use the Platform and engage with these professionals at your own risk.

Professional Services and Maintenance Coordinators

1. Professional Services: Nexus Real Estate Group LLC does not guarantee the quality or reliability of the professional services provided by third-party professionals on the Platform. Any service you receive from these professionals is not under the control of Nexus Real Estate Group LLC, and you assume full responsibility for any outcomes related to the use of such services.

2. Maintenance Coordinators: If you interact with maintenance coordinators on Nexus Real Estate Group LLC, please note that these individuals are third-party contractors. Their role is to help schedule and follow up on service requests. However, you remain responsible for managing the maintenance request and overseeing the maintenance coordinators' work. Nexus Real Estate Group LLC does not assume liability for the actions or omissions of these coordinators.

No Legal or Financial Advice

Nothing within this Agreement or on the Nexus Real Estate Group LLC Platform constitutes legal, financial, or professional advice of any kind. If you require advice in relation to legal, financial, or any other professional matter, you should seek the services of an appropriately qualified professional.

Reasonableness of Exclusions and Limitations

By using the Nexus Real Estate Group LLC Platform, you agree that the exclusions and limitations of liability outlined in this Agreement are reasonable. If you do not agree with or accept these limitations, you must discontinue your use of the Nexus Real Estate Group LLC Platform.

1. Personal Liability: You acknowledge that Nexus Real Estate Group LLC has a legitimate interest in limiting the personal liability of its officers, directors, and employees. As such, you agree that you will not bring any claims personally against Nexus Real Estate Group LLC’s officers, directors, or employees in connection with any dispute, loss, or damage related to your use of the Platform.

2. Protection of Nexus Real Estate Group LLC and Affiliates: Furthermore, you agree that the limitations of warranties and liability set forth in this Agreement apply not only to Nexus Real Estate Group LLC but also extend to protect its officers, directors, employees, agents, licensors, parents, subsidiaries, affiliates, successors, assigns, and subcontractors.

Acknowledgment of Agreement

Each party acknowledges that the other party has entered into this Agreement with the understanding that the limitations of liability stated herein are essential to the terms of the Agreement. These limitations are a fundamental part of the agreement between the parties.

By using the Nexus Real Estate Group LLC Platform, you agree to these terms and accept the associated risks and limitations of liability.

You agree that Nexus Real Estate Group LLC, its affiliates, licensors, and any of their agents, employees, officers, directors, corporate partners, or participants (collectively referred to as "Nexus Real Estate Group LLC") will not be held liable for any damages, expenses, losses, suits, claims, or controversies (collectively, "liabilities") that have arisen or may arise, whether known or unknown, in connection with your use of or inability to use the Nexus Real Estate Group LLC Platform. This includes, without limitation, any liabilities arising from:

1. User Conduct: This includes any conduct, act, or omission by any User of the Platform, such as stalking, harassment, physical violence, or loss or destruction of personal property.

2. Services and Disputes: Any dispute with another User, or any instruction, advice, act, or service provided by Nexus Real Estate Group LLC, is not the responsibility of Nexus Real Estate Group LLC. This also covers any destruction or mismanagement of your information.

3. Exclusion of Damages: Under no circumstances will Nexus Real Estate Group LLC be liable for any direct, indirect, incidental, consequential, special, or exemplary damages that may arise in connection with your use of or inability to use the Nexus Real Estate Group LLC Platform or any services, even if Nexus Real Estate Group LLC was advised of the possibility of such damages. This includes, but is not limited to, any claims related to the quality of work performed in connection with the Nexus Real Estate Group LLC Platform or any professional services facilitated by the Platform.

4. Jurisdictional Limits: Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so the above limitations may not apply to you. In the event that any liability is found against Nexus Real Estate Group LLC despite these exclusions, the total liability, whether in contract, tort, strict liability, or otherwise, will not exceed the total fees paid by you to Nexus Real Estate Group LLC during the six (6) months prior to the occurrence of the claim.

By using the Nexus Real Estate Group LLC Platform, you acknowledge and accept these limitations of liability, agreeing that your recourse for any potential claims against Nexus Real Estate Group LLC is limited as described above. If you do not agree to these terms, you should discontinue your use of the Nexus Real Estate Group LLC Platform.

Nexus Real Estate Group LLC expressly disclaims any liability that may arise between Users of the Nexus Real Estate Group LLC Platform. The Platform is provided solely as a venue for connecting Users, including property owners, tenants, licensed professionals, and third-party service providers. To the extent that the Nexus Real Estate Group LLC Platform connects a User to a third-party provider for services such as rental showings, maintenance coordination, or inspections, Nexus Real Estate Group LLC will not be responsible for assessing the suitability, legality, or ability of any third-party provider. By using the Platform, you expressly waive and release Nexus Real Estate Group LLC from any and all liability, claims, or damages arising from or related to the services provided by any third-party service provider.

Disputes Between Users

Because Nexus Real Estate Group LLC is not involved in the actual contact between Users or in the completion of any professional service facilitated through the Platform, you acknowledge that any dispute you have with one or more Users is entirely your responsibility. You agree to release Nexus Real Estate Group LLC from any and all claims, demands, or damages (whether actual, direct, or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

Waiver of Section 1542

By agreeing to these terms, you expressly waive and release any and all rights and benefits under Section 1542 of the Civil Code of the State of Massachusetts (or any analogous law of any other state), which reads as follows:

"A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which, if known by him or her, must have materially affected his or her settlement with the debtor."

This waiver means that you are releasing Nexus Real Estate Group LLC from all unknown or unanticipated claims that you might have against them in connection with your use of the Platform, even if those claims arise after you agree to these terms.

By using the Nexus Real Estate Group LLC Platform, you acknowledge that you understand and accept these terms of release, and agree that Nexus Real Estate Group LLC is not liable for any disputes or issues that arise between you and other Users or third-party service providers.

Nexus Real Estate Group LLC's Right to Terminate: Nexus Real Estate Group LLC reserves the right to terminate this Agreement and your account at any time, for any reason or no reason, with or without prior notice. Such termination will be effective immediately, or as specified in the termination notice provided by Nexus Real Estate Group LLC. This termination includes, but is not limited to, the deactivation or disabling of your access to Nexus Real Estate Group LLC, as well as the potential barring of any future use of the Platform or its Services. For clarity, only Nexus Real Estate Group LLC or the entity that has paid for the Premium Services can terminate your access to those specific services.

Your Right to Terminate: You also have the right to terminate this Agreement at any time, for any reason or no reason, by providing notice to Nexus Real Estate Group LLC in accordance with Section 9.3. Your termination will be effective once Nexus Real Estate Group LLC processes your notice. Following termination, you will no longer have access to your Nexus Real Estate Group LLC account, and any data or content associated with your account may be permanently deleted by Nexus Real Estate Group LLC.

By agreeing to these terms, you acknowledge that both you and Nexus Real Estate Group LLC have the right to terminate this Agreement and that such termination will result in the immediate cessation of your access to the Nexus Real Estate Group LLC Platform and Services.

Nexus Real Estate Group LLC reserves the right to restrict, suspend, or terminate the account of any User who, in its sole discretion, engages in any form of misuse or abuse of the Services. Misuse includes, but is not limited to, the following actions:

• Inviting Connections with Unknown Users: Sending connection invitations to Users with whom you have no prior relationship or legitimate reason to connect.

• Abusing Messaging Services: Using the Nexus Real Estate Group LLC messaging services inappropriately, such as spamming or sending unsolicited messages.

• Creating Multiple or False Profiles: Establishing multiple agent profiles or creating false agent profiles.

• Creating False Property Listings: Posting property listings that are fraudulent or do not represent actual properties available for rent or sale.

• Unauthorized Commercial Use: Utilizing the Services for commercial purposes without the explicit authorization of Nexus Real Estate Group LLC.

• Infringing Intellectual Property: Engaging in activities that infringe upon the intellectual property rights of others, including copyright, trademark, or patent rights.

• Violating Section 10 Do’s and Don’ts: Breaching any of the guidelines set forth in Section 10, which outlines acceptable and unacceptable behaviors on the Platform.

• Other Behavior Contrary to Nexus Real Estate Group LLC's Purpose: Any other actions or behaviors that Nexus Real Estate Group LLC, at its sole discretion, determines to be contrary to the intended use and purpose of the Platform.

Additionally, Nexus Real Estate Group LLC has implemented a policy of terminating accounts of Users who are deemed to be repeat infringers under the United States Copyright Act or other applicable laws.

Upon termination of your Nexus Real Estate Group LLC account, your access to the Services will be immediately revoked. This means that you will no longer be able to use the Platform or any of the Services associated with your account.

While your access to the Services ends upon termination, certain provisions of this Agreement will continue to apply. Specifically, the terms and conditions outlined in this Agreement will survive termination, except for the following sections:

• Section 3 ("Your Rights"): Your rights to use the Services are revoked upon termination.

• Section 4.1 ("Services Availability"), Section 4.2 ("Third Party Content, Sites and Developers"), and Section 4.3 ("Disclosure of User Information"): These sections concerning our rights and obligations will no longer apply once your account is terminated.

By agreeing to these terms, you acknowledge the consequences of termination and understand that any misuse of the Services may lead to the immediate suspension or termination of your account, with no further access to the Platform or its features.

In the event that a legal dispute arises between you and Nexus Real Estate Group LLC, this Agreement and any claim, cause of action, or dispute ("claim") arising out of or related to this Agreement shall be governed by the laws of the state of Massachusetts, without regard to your country of origin, where you access Nexus Real Estate Group LLC, or any conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement.

You and Nexus Real Estate Group LLC agree that any claims arising out of or related to this Agreement must be resolved exclusively in the state or federal courts located in Essex, Massachusetts. Both parties consent to the personal jurisdiction of these courts for the purpose of litigating such claims. This choice of forum is intended to provide consistency and predictability in resolving any disputes that may arise.

However, this agreement to litigate in Massachusetts does not prevent Nexus Real Estate Group LLC from seeking injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction if necessary to protect its interests. This means that if Nexus Real Estate Group LLC believes that immediate legal action is required to prevent harm or damage, it may seek such relief in any appropriate court, regardless of the location or the general agreement to litigate in Massachusetts.

By agreeing to these terms, you acknowledge that any legal disputes related to this Agreement will be handled according to Massachusetts law and within the designated courts of Essex, Massachusetts, unless an alternative forum is mutually agreed upon or mandated by law.

Both you and Nexus Real Estate Group LLC have the right to choose arbitration as a method for resolving disputes.

For any claim (excluding claims seeking injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, either party may elect to resolve the dispute through binding, non-appearance-based arbitration. This option allows for a more cost-effective resolution of disputes without the need for a traditional court proceeding.

If a party elects arbitration, the following steps will be taken:

1. Initiation of Arbitration: The party seeking arbitration must initiate the process through an established alternative dispute resolution ("ADR") provider that is mutually agreed upon by both parties.

2. Arbitration Rules: The ADR provider and the parties must adhere to the following rules for conducting the arbitration:

   • Method of Arbitration: The arbitration will be conducted by telephone, online, and/or based solely on written submissions, as chosen by the party initiating the arbitration.

   • No Personal Appearance: The arbitration process will not involve any personal appearance by the parties or witnesses unless both parties mutually agree otherwise.

   • Final Judgment: Any judgment on the award rendered by the arbitrator shall be considered final and may be entered in any court of competent jurisdiction.

This arbitration option is intended to provide a streamlined and efficient method for resolving disputes under $10,000, minimizing the need for costly and time-consuming court proceedings. By agreeing to these terms, you acknowledge the availability of arbitration as an alternative to traditional litigation and agree to the rules and procedures outlined above.

Here are some important details about how to interpret this Agreement.

If any provision of this Agreement is determined by a court of competent jurisdiction or an arbitrator to be illegal, void, or unenforceable, that provision will be modified in a way that makes it enforceable and effective to the greatest extent possible, while still reflecting the original intention of the provision. If, despite such modification, a court or arbitrator still finds the provision to be invalid, illegal, void, or unenforceable, the invalidity of that specific provision will not affect the validity, legality, or enforceability of the remaining provisions of this Agreement. The rest of the Agreement will continue to remain in full force and effect.

This means that even if one part of the Agreement is found to be problematic, the rest of the Agreement will still apply and govern your relationship with Nexus Real Estate Group LLC.

If Nexus Real Estate Group LLC has provided you with a translation of the English language version of this Agreement, the Privacy Policy, or any other related documentation, you agree that the translation is provided solely for your convenience. In case of any discrepancies or conflicts between the translated version and the English version, the English language versions of this Agreement, the Privacy Policy, and any other relevant documentation, including additional terms of service for Premium Services, shall prevail and govern your relationship with Nexus Real Estate Group LLC.

This ensures that the original intent and legal clarity of the Agreement are maintained, and the English versions are considered the authoritative documents.

In addition to Section 2.8 (“Notices and Service Messages”), Nexus Real Estate Group LLC may notify you through postings on www.Nexus.RealEstate or another Nexus Real Estate Group LLC site or app. You may contact us via email at Nexus@marketingwithnexus.com or by courier at the following address: Nexus Real Estate Group LLC, ATTN: 205 River St, 2nd Floor, Haverhill, MA 01832. Nexus Real Estate Group LLC also accepts service of process at this address. Any notices you provide that do not comply with this section shall have no legal effect.

This Agreement constitutes the entire, complete, and exclusive agreement between you and Nexus Real Estate Group LLC regarding the Services and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy, or precedent, concerning the subject matter of this Agreement. You may also be subject to additional terms and conditions when you use or purchase certain other Nexus Real Estate Group LLC services, third-party content, or third-party software.

Nexus Real Estate Group LLC reserves the right to modify, supplement, or replace the terms of this Agreement, effective prospectively upon posting at www.Nexus.RealEstate or by otherwise notifying you. For example, we may present a banner on the Services when we have amended this Agreement or the Privacy Policy so that you can access and review the changes before continuing to use the Services. If you do not agree to the changes to this Agreement, you can terminate this Agreement at any time per Section 7 (Termination).

Our failure to act with respect to a breach of this Agreement by you or others does not waive our right to act with respect to that breach or subsequent similar or other breaches. Except as expressly and specifically provided in this Agreement, no representations, statements, consents, waivers, or other acts or omissions by any Nexus Real Estate Group LLC Affiliate shall be legally binding on any Nexus Real Estate Group LLC Affiliate unless documented in a physical writing hand-signed by a duly appointed officer of Nexus Real Estate Group LLC.

You waive your rights to seek injunctive or other equitable relief against Nexus Real Estate Group LLC.

In no event shall you seek or be entitled to rescission, injunctive, or other equitable relief, or to enjoin or restrain the operation of the Services, the exploitation of any advertising or other materials issued in connection therewith, or the exploitation of the Services or any content or other material used or displayed through the Services.

You may not assign or delegate any rights or obligations under this Agreement. Any attempted assignment or delegation will be ineffective. Nexus Real Estate Group LLC may freely assign or delegate all rights and obligations under this Agreement, fully or partially, without notice to you. If you are located outside the United States, you may have rights or obligations under local law in addition to those enumerated in this Agreement. This section acknowledges that local laws may provide additional rights or impose further obligations that are not covered in this Agreement.

As a condition to accessing Nexus Real Estate Group LLC, you agree to adhere to this Terms of Use Agreement and to strictly observe the following DOs and DON’Ts below.

• Comply with all applicable laws: This includes, without limitation, privacy laws, intellectual property laws, export control laws, tax laws, Fair Housing Act laws, Fair Credit Reporting Act, and regulatory requirements.

• Provide accurate information: Ensure that all information you provide is truthful and up-to-date, and update it as necessary.

• Review and comply with our Privacy Policy: Familiarize yourself with and adhere to the privacy guidelines we have established.

• Comply with notices: Pay attention to and comply with any notices sent by Nexus Real Estate Group LLC concerning the Services.

• Use the Services professionally: Engage with the Services in a manner that reflects professionalism.

• Use your real name: Ensure that your profile reflects your actual identity.

• Act dishonestly or unprofessionally: Refrain from posting inappropriate, inaccurate, fraudulent, or objectionable content to Nexus Real Estate Group LLC.

• Publish inaccurate information: Avoid including incorrect details in profile fields, especially sensitive personal information such as financial or credit details.

• Create accounts improperly: Do not create an account for anyone other than a natural person, and do not create multiple or false profiles.

• Harass, abuse, or harm others: This includes sending unwelcome communications to others through Nexus Real Estate Group LLC.

• Violate Fair Housing Act (FHA) regulations: Avoid listing properties with discriminatory language that violates the FHA.

• Misuse credit reports: Only collect credit reports for legitimate purposes related to leasing property, and in compliance with the Fair Credit Reporting Act (FCRA).

• Invite strangers to your properties: Only invite individuals you know to join your rental properties on Nexus Real Estate Group LLC.

• Use false identities: Avoid using another person's account or creating a false identity on Nexus Real Estate Group LLC.

• List unavailable properties: Only list properties that are actually available, and ensure you have express consent from the property owner to do so.

• Post prohibited content: Refrain from uploading, posting, emailing, or transmitting any content that is unlawful, libelous, abusive, obscene, discriminatory, or otherwise objectionable.

• Falsify your identity: Avoid impersonating others or misrepresenting your identity in any communication or profile.

• Infringe on intellectual property: Do not include information that infringes upon patents, trademarks, copyrights, or other proprietary rights.

• Engage in unauthorized advertising: Do not send unsolicited promotions, junk mail, or chain letters using Nexus Real Estate Group LLC.

• Transmit harmful software: Avoid uploading viruses, worms, or any harmful code that could damage Nexus Real Estate Group LLC or its users' equipment.

• Manipulate Nexus Real Estate Group LLC's systems: Do not forge headers, manipulate identifiers, or attempt to disguise the origin of communications.

• Duplicate or resell Nexus Real Estate Group LLC content: Do not copy, license, sublicense, publish, or otherwise transfer information found on Nexus Real Estate Group LLC without proper authorization.

• Engage in unauthorized scraping or crawling: Refrain from using bots or other automated methods to access Nexus Real Estate Group LLC or its data.

• Interfere with Nexus Real Estate Group LLC’s operations: Avoid any actions that could disrupt or place an unreasonable load on Nexus Real Estate Group LLC’s infrastructure, including unauthorized access attempts or transmitting viruses.

• Misuse Nexus Real Estate Group LLC’s branding: Do not infringe on Nexus Real Estate Group LLC’s brand, logos, or trademarks, and avoid using the Nexus Real Estate Group LLC name in unauthorized business names or URLs.

• Engage in prohibited linking: Refrain from deep-linking to any pages on Nexus Real Estate Group LLC other than the homepage unless expressly authorized.

By adhering to these guidelines, you help maintain the integrity and professionalism of Nexus Real Estate Group LLC, ensuring a positive experience for all users.

It is important to note that the credit reports provided or requested through Nexus Real Estate Group LLC’s platform are not intended to serve as a full disclosure of information from a credit reporting agency as required by the FCRA or similar laws.

You are entitled to receive a free copy of your credit report directly from a credit reporting agency if you meet any of the following conditions:

• Denial or Adverse Action: If you have been denied credit, insurance, employment, housing, or any government grant or benefit within the past 60 days based on information in a credit report provided by such an agency, you are entitled to a free copy.

• Rental Denial or Higher Deposit: If you have been denied a house or apartment rental, or were required to pay a higher deposit than is typically required, within the past 60 days based on information in a consumer report provided by such an agency, you can obtain a free copy of your report.

• Public Welfare Assistance: If you certify in writing that you are a recipient of public welfare assistance, you are eligible for a free copy of your credit report.

• Inaccurate Information Due to Fraud: If you certify in writing that you believe your file at a credit reporting agency contains inaccurate information due to fraud, you may receive a free report.

In addition, residents of certain states have specific entitlements to free credit reports:

• Colorado, Maine, Maryland, Massachusetts, New Jersey, Vermont: Residents of these states are entitled to one free copy of their credit report each year from the credit bureaus.

This section underscores the importance of your rights under the FCRA and provides guidance on how you can access your credit information, dispute inaccuracies, and understand the protections available to you under federal law.

The Fair Credit Reporting Act (FCRA) provides you the right to dispute inaccurate or incomplete information in your credit file. You understand that accurate information in your credit report cannot be altered or changed. If you believe there is inaccurate or incomplete information on your credit report, you may initiate a dispute with the credit reporting agency directly to have the information reviewed and corrected if necessary.

Fraud Alerts are available to eligible consumers free of charge from any of the three national consumer reporting agencies. A Fraud Alert is a notice placed on your credit file that alerts creditors to take additional steps to verify your identity before extending credit in your name. This is an essential tool to protect against identity theft. You can request a Fraud Alert by contacting any one of the national credit reporting agencies, and it will be shared with the other two agencies.

12.4.1 General Terms

A Tenant Screening report ("Screening Services") provided through the Nexus Real Estate Group LLC Platform is made possible through a direct integration with TransUnion® SmartMove® ("SmartMove"), a product of TransUnion Rental Screening Solutions ("TURSS"). By using the Screening feature on the Nexus Real Estate Group LLC Platform, you agree to be bound by the terms and conditions established by SmartMove and TURSS. These terms are legally binding, and it is crucial that you read and understand them before using the Screening Services.

SmartMove provides access to your credit and public record information ("Credit Information") to third parties through the Nexus Real Estate Group LLC Platform. When you use these services, you are required to authenticate your identity using information from public records and credit details related to the identifying information you provide (such as your Social Security Number and Date of Birth) ("Identifying Information").

Upon successful identity verification, your Credit Information will be scored by TURSS and provided to third parties as indicated by your request through the Nexus Real Estate Group LLC Platform. It is important to acknowledge that neither TURSS nor Nexus Real Estate Group LLC is responsible for any actions or decisions made by third parties with whom you have shared your Credit Information.

The images, text, screens, web pages, materials, data, content, and other information ("Content") used and displayed through the Nexus Real Estate Group LLC Platform are the property of TURSS or its licensors and are protected by copyright, trademark, and other laws. In addition to its rights in the individual elements of the Content within the Nexus Real Estate Group LLC Platform, TURSS owns intellectual property rights in the selection, coordination, arrangement, and enhancement of such Content.

None of the Content may be copied, displayed, distributed, downloaded, licensed, modified, published, reposted, reproduced, reused, sold, transmitted, used to create derivative works, or otherwise used for public or commercial purposes without the express written permission of TURSS or the owner of the Content. By utilizing Nexus Real Estate Group LLC’s Screening services, you acknowledge and agree that your personal information may be used and shared in accordance with the terms outlined in the TransUnion Rental Screening Solutions (TURSS) Privacy Statement. This privacy statement governs the collection, use, and sharing of your information within the context of the Screening services and is an essential part of ensuring your data is handled appropriately. 12.4.3 Notices for Screening

All notices, inquiries, or other communications related to the Screening services provided by TransUnion SmartMove should be directed to the following address:

12.4.4 Applicable Law for Screening Services

The interpretation of these terms and conditions related to the Screening services will be governed by the laws of the State of Illinois, USA, as well as applicable federal laws, without consideration of any conflict of law provisions. It is important to note that TURSS provides credit reports only on individuals who have established credit within the United States. If you choose to access the Nexus Real Estate Group LLC Platform from outside the United States, you do so at your own risk and are responsible for ensuring compliance with local laws. Should any disputes arise under this Agreement or from TURSS's provision of services to you, they must be resolved in the state and federal courts located in the Northern District of Illinois, USA.

12.4.5 Screening for Owners, Agents, and Managers

By using the Screening services, you certify that your use is exclusively for the purpose of assisting with making a residential or storage leasing decision. This certification is critical for compliance with legal standards and ensures that the Screening services are utilized only for legitimate purposes within the context of leasing and property management.

This section outlines the responsibilities and legal framework surrounding the use of the Screening services on the Nexus Real Estate Group LLC Platform. It is designed to protect all parties involved and ensure that the services are used in a lawful and ethical manner.

12.4.5.1 Consumer Report Information

TransUnion Rental Screening Solutions (TURSS) provides access to certain consumer report information services derived from consumer reporting databases, which may include but are not limited to consumer credit reports and criminal record reports (collectively, "Consumer Report Information"). These services are available to users who have a permissible purpose for receiving such information in accordance with the Fair Credit Reporting Act (FCRA) (15 U.S.C. §1681 et seq.), including all amendments thereto. Under this Agreement, the term "adverse action" shall have the same meaning as defined in the FCRA. It is critical that users understand and comply with the legal requirements and implications of accessing and using Consumer Report Information, especially when such information is used to make decisions that may impact an applicant or tenant.

12.4.5.2 FCRA Penalties

The FCRA stipulates severe penalties for misuse of consumer report information. Specifically, the FCRA provides that any person who knowingly and willfully obtains information on a consumer from a consumer reporting agency under false pretenses shall be fined under Title 18, or imprisoned for not more than two years, or both. It is imperative that users of the Nexus Real Estate Group LLC Platform and TURSS services ensure that they have a legitimate, permissible purpose for accessing Consumer Report Information and that they use such information in compliance with all applicable laws.

12.4.5.3 Recommendations

Based on the Applicant and/or Tenant information provided to Nexus Real Estate Group LLC ("Applicant/Tenant Information"), Nexus Real Estate Group LLC will obtain consumer reports related to each Applicant and/or Tenant and will evaluate these reports ("Applicant/Tenant Reviews"). Following this evaluation, Nexus Real Estate Group LLC will provide the User with a Recommendation regarding the Applicant and/or Tenant. This Recommendation will be based on the initial thresholds and criteria established by Nexus Real Estate Group LLC, which have been confirmed by the User in writing. Users must ensure compliance with all legal obligations when providing any information to an Applicant and/or Tenant, including ensuring that any adverse action taken is properly communicated and justified.

12.4.5.4 All Rental Decisions to Be Made by the User

The User acknowledges and agrees that Nexus Real Estate Group LLC provides only Recommendations and that all final decisions regarding whether to rent a property to a particular Applicant or Tenant, as well as the length and terms of any such rental, are solely the responsibility of the User. Nexus Real Estate Group LLC shall have no liability to the User, Tenant, or any other person or entity for any rental decision made, or not made, whether or not that decision was based on Recommendations, Consumer Report Information, public records, or other information provided by TURSS. This underscores the importance of the User’s discretion and responsibility in making rental decisions.

12.4.5.5 Adverse Action Factors

TURSS may provide score reason codes to the User, which are designed to indicate the principal factors that contributed to the Bureau Score. These reason codes may be disclosed to consumers as the reasons for taking adverse action, as required by the Equal Credit Opportunity Act (ECOA) and its implementing Regulation B (Reg. B). While the Bureau Score itself, accompanied by the corresponding reason codes, may be disclosed to the consumer who is the subject of the score, the Bureau Score alone cannot be used as the reason for adverse action under Reg. B. It is important for Users to be aware of these regulations and to ensure that any adverse action taken is properly supported and communicated in compliance with these legal requirements.

This section provides detailed guidance on the responsibilities and legal considerations associated with accessing and using Consumer Report Information and making rental decisions based on that information. Users must exercise caution and due diligence to comply with all applicable laws and regulations.

12.4.5.6 Score Performance

Certain Scores provided through the Nexus Real Estate Group LLC Platform are implemented with standard minimum exclusion criteria. TURSS warrants that the scoring algorithms used in the computation of these scoring services ("Models") are empirically derived from credit data and represent a demonstrably and statistically sound method of rank-ordering candidate records with respect to the purpose of the Scores when applied to the population for which they were developed. Additionally, TURSS guarantees that no scoring algorithm used by any Score incorporates a "prohibited basis" as defined under the Equal Credit Opportunity Act (ECOA) and its implementing Regulation B (Reg. B).

It is important to note that while the Bureau Score may appear on a credit report for convenience, it is not an integral part of the credit report itself, nor does it add to the information contained in the report on which it is based. The Score is provided as a tool to help rank-order candidate records in a way that is consistent with empirical data and statistically sound methodologies. However, Users should understand that the Score is separate from the underlying credit report and should be interpreted accordingly.

By relying on these Scores, Users benefit from a method that is designed to be fair and compliant with federal regulations, ensuring that no discriminatory practices are involved in the scoring process. This guarantees that all scoring models are developed and applied in a way that aligns with both legal requirements and best practices in credit evaluation.
