Additional Licenses: You also hereby grant each user of the Services a non-exclusive license to access your User Content through the Services, and to use, edit, modify, reproduce, distribute, prepare derivative works of, display, and perform such User Content solely for personal, non-commercial use.

3. No Compensation: You acknowledge and agree that you are not entitled to any compensation or reimbursement of any kind from us under any circumstances for any use of your User Content.

Compliance and Responsibility

Grant of License

By submitting your User Content to Nexus Real Estate Group LLC and its related companies, agents, and other affiliates (collectively, “Licensed Parties”), you hereby grant the Licensed Parties a worldwide, perpetual, irrevocable, sublicensable, royalty-free, and transferable license to use, reproduce, edit, modify, exhibit, create derivative works of, transmit, distribute, and display your User Content in any manner and for any purpose. This includes, but is not limited to, use on webpages and social media pages operated by the Licensed Parties, in promotional emails and advertisements, and in any and all other marketing, promotional, and advertising initiatives, in any and all media formats, whether now known or hereafter developed.

Waiver of Rights

You irrevocably and unconditionally waive (and agree not to enforce) all rights in the User Content, including, without limitation, any moral rights or equivalent rights which you may otherwise have under any laws now existing or which become law in the future in any part of the world. This waiver extends to all rights, claims, and demands that may arise from the Licensed Parties' use of your User Content as permitted by these UGC Terms.

Consent and Permissions

You confirm that you have obtained all necessary consents or permissions from any person or entity required for the Licensed Parties' use of your User Content as described in these UGC Terms. This includes, but is not limited to, obtaining permission from:

1. Any person who appears or performs in your User Content; and

2. Any person or entity who owns any rights in your User Content or anything that appears in your User Content.

Use of Identifying Information

You also grant the Licensed Parties the right to use your username, real name, image, likeness, descriptions of you, location, or other identifying information that is publicly available on the social media platform where the User Content was posted or supplied by you to Nexus Real Estate Group LLC, in connection with any use of your User Content. You agree that the Licensed Parties have no obligation to use your User Content, name, or other identifying information.

Release and Indemnification

You hereby release, discharge, and agree to hold the Licensed Parties, and any person acting on their behalf, harmless from any liability related in any way to the Licensed Parties' use of your User Content. This includes, but is not limited to, claims of defamation, invasion of privacy, right of publicity, emotional distress, or economic loss.

Right to Cease Use

The Licensed Parties reserve the right to cease use of any User Content at any time and for any reason. This includes, but is not limited to, removing or discontinuing the display or use of User Content on any of the Licensed Parties' platforms or marketing materials.

Infringement Claims

By submitting your User Content, you represent and warrant that:

8. Lawfulness: The User Content is not libelous, defamatory, obscene, harassing, hateful, offensive, or otherwise unlawful.

9. Compliance with Laws and Platform Terms: Your upload or post of the User Content does not violate any applicable laws or the terms or conditions of the social media platform where you uploaded or posted the User Content.

Indemnification

You agree to indemnify, defend, and hold harmless Nexus Real Estate Group LLC, our vendors, and any of our or their respective parents, affiliates, licensees, licensors, and each of our or their respective officers, directors, employees, successors, agents, and assigns, from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including, but not limited to, reasonable attorneys' fees) arising from or in connection with:

Third-Party Rights

A person who is not a party to these UGC Terms has no right to enforce any of these terms. These UGC Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these UGC Terms.

Entire Agreement

These UGC Terms contain all the terms agreed between you and Nexus Real Estate Group LLC regarding the User Content and supersede any prior agreement, understanding, or arrangement between us, whether oral or in writing. Any modifications to these UGC Terms must be made in writing and signed by an authorized representative of Nexus Real Estate Group LLC.

Governing Law and Jurisdiction

The construction, validity, and performance of these terms shall be governed by the laws of the State of Washington, USA, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in the State of Washington to resolve any dispute arising under or in connection with these UGC Terms.

Severability

If any court of law, having jurisdiction to decide on this matter, rules that any provision of these UGC Terms is invalid or unenforceable, then that provision will be removed without affecting the rest of the UGC Terms. The remaining provisions of these UGC Terms will continue to be valid and enforceable.
